- Scope of Work: The Tailor (House of Al-Karim Custom Tailoring) shall provide all bespoke tailoring, garment construction, alteration, and embroidery services as detailed in Section 2 of this Purchase Order. All work shall be performed at the Tailor's workshop located in Al-Karada District, Baghdad, Iraq, unless otherwise agreed in writing.
- Quality Standards: All garments produced under this Purchase Order must meet the quality specifications agreed upon during the initial consultation. The Tailor shall use only the fabrics and materials specified by the Buyer. Any substitution of materials requires prior written approval from the Buyer's procurement officer.
- Fittings and Adjustments: The Tailor shall schedule a minimum of two (2) fitting sessions for each custom garment (Items 1–3) and one (1) fitting session for alterations (Item 4). All fittings shall take place at the Tailor's Baghdad workshop or at the Buyer's Al-Mansour office, at the Buyer's discretion.
- Delivery: All completed garments and services shall be delivered to the Buyer's premises at Office 14, Al-Mansour District, Baghdad, Iraq, no later than the deadlines specified in Section 2. Delivery shall be arranged by the Tailor at no additional cost to the Buyer.
- Payment Schedule: A 50% advance payment (IQD 9,984,975) shall be due within five (5) business days of the Buyer's written acceptance of this Purchase Order. The remaining 50% balance (IQD 9,984,975) shall be due within ten (10) business days of final delivery and acceptance of all items. Payment shall be made via bank transfer to the Tailor's designated account at the Central Bank of Iraq, Baghdad branch.
- Warranty and Defects: The Tailor guarantees all stitching, seams, and structural integrity of the garments for a period of ninety (90) days from the date of delivery. Any defects discovered within this warranty period shall be repaired or replaced at the Tailor's sole expense.
- Confidentiality: The Tailor acknowledges that client measurements, design specifications, and corporate branding details shared under this Purchase Order are confidential and shall not be disclosed to any third party without the Buyer's written consent.
- Force Majeure: Neither party shall be held liable for delays caused by events beyond reasonable control, including but not limited to power outages, supply chain disruptions, or government-mandated closures in Baghdad, Iraq. Affected parties must notify the other within forty-eight (48) hours of the event occurring.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Iraq. Any disputes arising from this agreement shall be resolved through the competent commercial courts in Baghdad, Iraq.
- Amendments: No modification to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties.
