This Purchase Order requires the Tailor, Sartoria Bianchi & Figli S.n.c., to complete all bespoke garment production and alteration services within the timeframe specified below. All finished items must be delivered to the buyer's premises at Via Montenapoleone 42, Italy Milan, no later than the dates indicated:

Payment for this Purchase Order shall be made in accordance with the following schedule, as agreed between the buyer and the Tailor:

  • 30% Advance Payment: EUR 30,281.01 due within 10 business days of Purchase Order acceptance, payable via bank transfer to the Tailor's designated account in Italy Milan.
  • 40% Progress Payment: EUR 40,374.68 due upon completion of Phase 2 (Final Fittings) and written approval by the buyer's quality representative.
  • 30% Final Payment: EUR 30,281.01 due within 15 business days of final delivery and acceptance of all Tailor garments at the buyer's Italy Milan premises.

All payments are subject to the standard Italian commercial invoice (Fattura Elettronica) issued by the Tailor in compliance with the Italian Revenue Agency (Agenzia delle Entrate) electronic invoicing regulations.

  1. Quality Standard: All Tailor workmanship must conform to the Italian Made handcrafted garment standard. Any garment exhibiting stitching defects, misaligned seams, or fabric damage shall be reworked at the Tailor's sole expense within 7 business days of notification.
  2. Materials: The Tailor guarantees that all fabrics, linings, buttons, and interlining materials specified in this Purchase Order are genuine, undamaged, and sourced from approved Italian and European suppliers. Substitution of materials without prior written consent from the buyer is strictly prohibited.
  3. Confidentiality: The Tailor agrees to maintain strict confidentiality regarding client measurements, design specifications, and any proprietary patterns shared in connection with this Purchase Order. This obligation extends to all personnel within the Tailor's Italy Milan workshop.
  4. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures in Italy Milan, or supply chain disruptions affecting the Tailor's ability to source materials.
  5. Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the laws of the Italian Republic. Any disputes arising from this Purchase Order shall be resolved by the competent courts of Italy Milan, Lombardy.
  6. Warranty: The Tailor provides a 12-month warranty on all bespoke garments produced under this Purchase Order, covering structural defects in stitching, canvas construction, and hardware. Normal wear and tear is excluded.
  7. Intellectual Property: All custom patterns, measurements, and design specifications created for this Purchase Order remain the exclusive property of the buyer. The Tailor shall not reproduce, sell, or disclose these designs to any third party.
