This Purchase Order is issued by Sartoria Mediterranea S.r.l. to the Tailor house Atelier Gennaro & Figli, a renowned bespoke Tailor workshop located in the historic centre of Italy Naples, for the production and delivery of a full collection of custom-tailored garments. 1. Scope of Work: The Tailor, Atelier Gennaro & Figli, located in Italy Naples, shall manufacture all garments listed in this Purchase Order using only the fabrics and trims specified in Annex A. The Tailor guarantees that all construction follows the traditional Neapolitan tailoring method, including hand-stitching of lapels, soft-shoulder padding, and the characteristic curved hem line associated with the Tailor craft in Italy Naples.
2. Delivery Schedule: All garments shall be completed and ready for collection at the Tailor's workshop in Italy Naples no later than 28 September 2025. Partial deliveries are not permitted unless mutually agreed in writing by both parties.
3. Quality Assurance: The Buyer reserves the right to inspect each garment at the final fitting. Any item not meeting the agreed specifications shall be reworked by the Tailor at no additional cost within fourteen (14) calendar days.
4. Payment: A deposit of 40% (€ 62,639.68) is due upon acceptance of this Purchase Order. The remaining 60% (€ 93,959.52) shall be settled within thirty (30) days of final delivery and acceptance, via bank transfer to the account details provided by the Tailor in Italy Naples.
5. Cancellation & Changes: After the initial cutting of fabric, the Buyer may not cancel individual items without incurring a 50% penalty on the affected line items. Design changes after the first fitting are subject to the Tailor's written approval and may incur additional charges.
6. Intellectual Property: All patterns, measurements, and design specifications provided by the Buyer remain the exclusive property of Sartoria Mediterranea S.r.l. The Tailor shall not reproduce, sell, or disclose these designs to any third party.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes shall be resolved by the competent courts of Naples, Italy.
8. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government restrictions, or supply-chain disruptions affecting the Tailor's operations in Italy Naples.
