This Purchase Order is issued by Abidjan Corporate Attire & Textile Solutions SARL to the registered Tailor and atelier, Atelier Couture d'Abidjan, for the procurement of bespoke tailoring services, premium fabrics, and associated materials. All completed garments, fabrics, and materials specified in this Purchase Order shall be delivered to the buyer's warehouse located at 142 Boulevard de Vridi, Cocody, Abidjan, Ivory Coast. The Tailor is responsible for arranging secure transportation within the Abidjan metropolitan area. Delivery is expected no later than 30 July 2025. Partial deliveries are permitted provided that each shipment is accompanied by a delivery note referencing this Purchase Order number (PO-IVC-ABJ-2025-04782). The Tailor shall ensure that all garments are properly pressed, packaged in protective garment bags, and labeled with the buyer's company name and order reference.
5. Payment Terms and Conditions- Advance Payment: A non-refundable deposit of 30% (5,495,850 XOF) shall be paid within five (5) business days of the acceptance of this Purchase Order by both parties.
- Progress Payment: An additional 40% (7,327,800 XOF) shall be due upon completion of 70% of the tailoring work and verified by the buyer's quality representative at the Tailor's atelier in Abidjan.
- Final Payment: The remaining 30% (5,495,850 XOF) shall be paid within thirty (30) calendar days following full delivery and written acceptance of all goods and services.
- Payment Method: All payments shall be made via bank transfer to the Tailor's designated account at Ecobank Côte d'Ivoire, Abidjan branch. Reference: PO-IVC-ABJ-2025-04782.
- Late Payment: A penalty of 1.5% per month shall apply to any overdue balance, in accordance with the commercial code of the Ivory Coast.
The Tailor, Atelier Couture d'Abidjan, warrants that all garments produced under this Purchase Order shall meet the highest standards of bespoke tailoring. Each piece shall undergo a minimum of three (3) fitting sessions to ensure a precise, professional fit. The Tailor shall use only the fabrics and materials specified in Section 3 of this document and shall not substitute any component without prior written approval from the buyer. All stitching, buttonholes, and finishing shall be executed by hand or by industrial-grade sewing machines maintained to professional standards. The Tailor shall provide a written quality guarantee of twelve (12) months on all structural seams and workmanship. Any defects discovered within this warranty period shall be repaired or replaced at no additional cost to the buyer.
7. Cancellation and Dispute ResolutionEither party may cancel this Purchase Order by providing thirty (30) days' written notice. In the event of cancellation by the buyer after the Tailor has commenced production, the buyer shall be liable for all materials already purchased and labor already performed, up to a maximum of 50% of the total Purchase Order value. Any disputes arising from this Purchase Order shall first be subject to good-faith negotiation between the parties. Should resolution not be reached within fifteen (15) days, the matter shall be referred to the competent commercial court in Abidjan, Ivory Coast, in accordance with the laws of the Republic of Côte d'Ivoire.
8. Acceptance and SignaturesBy signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the tailoring services and materials to be provided in Ivory Coast Abidjan.
