4. Delivery & Production Schedule

All bespoke Tailor garments listed in Items 01 through 04 shall be completed and delivered to the Buyer's Tokyo office no later than August 15, 2025.

The initial fitting appointment for each garment shall be scheduled within seven (7) business days of the acceptance of this Purchase Order at the Tailor's atelier in Ginza, Tokyo.

Alteration services (Item 05) shall be completed within fourteen (14) calendar days from the date of garment collection by the Tailor.

The on-site measurement session (Item 06) shall be conducted at the Buyer's premises in Shibuya, Tokyo, on a date mutually agreed upon by both parties, no later than June 30, 2025.

Delivery shall be made via the Tailor's own courier service within the Tokyo metropolitan area. All shipping and handling costs are included in the unit prices stated above.

5. Payment Terms & Conditions

A deposit of 30% of the total Purchase Order value (JPY 3,382,500) shall be remitted within five (5) business days of the Buyer's written acceptance of this document.

The remaining 70% balance (JPY 7,892,500) shall be paid within thirty (30) calendar days following final delivery and written acceptance of all Tailor garments by the Buyer.

All payments shall be made via bank transfer to the Tailor's designated account at Mizuho Bank, Ginza Branch, Tokyo. Account details are provided in the attached remittance schedule.

Any late payment beyond the stipulated thirty-day period shall incur an interest charge of 1.5% per month, in accordance with standard commercial practice in Japan Tokyo.

All prices are quoted in Japanese Yen (JPY) and are inclusive of all applicable consumption tax (10%) as mandated by the National Tax Agency of Japan.

6. Quality Standards & Acceptance

All Tailor garments shall be constructed in accordance with the highest standards of Japanese bespoke tailoring, including hand-stitched canvas interlining, hand-finished buttonholes, and fully lined interiors.

The Buyer reserves the right to inspect all garments upon delivery. Any garment that does not conform to the agreed measurements, fabric specifications, or workmanship standards outlined in the attached Technical Annex A shall be returned to the Tailor for rework at no additional cost.

The Tailor guarantees a twelve-month warranty on all structural stitching and construction defects for garments produced under this Purchase Order.

Any disputes regarding quality shall be resolved through mutual consultation between the Buyer's Procurement Manager and the Master Tailor within the City of Tokyo, in accordance with the Commercial Arbitration Act of Japan.

7. General Terms & Conditions

This Purchase Order constitutes a binding agreement between the Buyer and the Tailor upon signature by both authorized representatives.

Neither party may assign or transfer its obligations under this Purchase Order without the prior written consent of the other party.

This Purchase Order shall be governed by and construed in accordance with the laws of Japan, with the City of Tokyo, Chuo-ku, designated as the exclusive venue for any legal proceedings.

Confidentiality: Both parties agree to maintain strict confidentiality regarding all business information, employee measurements, and design specifications exchanged in connection with this Tailor engagement.

Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting the Tokyo region.

This Purchase Order, together with its attached annexes, constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations, or agreements.
