- Scope of Tailor Work: The Tailor (Atelier "Zhan" Tailor House) shall be solely responsible for all stages of garment production, including initial client measurements, pattern drafting, fabric cutting, assembly, pressing, and final quality inspection. The Tailor must ensure that every garment meets the dimensional tolerances specified in Annex A of this Purchase Order.
- Location of Work: All production, fitting sessions, and quality-control inspections shall take place exclusively at the Tailor's workshop in Kazakhstan Almaty (12 Dostyk Street, Floor 3). The Buyer reserves the right to conduct unannounced site visits to verify compliance with this Purchase Order.
- Delivery Schedule: The Tailor shall deliver the completed garments in three (3) batches: Batch 1 (60 suits) by 5 July 2025; Batch 2 (60 suits + 45 dresses) by 18 July 2025; Batch 3 (30 overcoats) by 28 July 2025. All deliveries shall be made to the Buyer's premises at 45 Abai Avenue, Kazakhstan Almaty.
- Payment Terms: Payment shall be made in three installments: 40% advance upon signing of this Purchase Order; 40% upon delivery of Batch 2; and 20% upon final acceptance of Batch 3. Payments shall be transferred via bank wire to the Tailor's designated account in KZT. Late payments shall incur a penalty of 0.1% per calendar day as per the Civil Code of the Republic of Kazakhstan.
- Quality Assurance: The Tailor guarantees that all garments shall be free from defects in workmanship, stitching, and fabric for a period of twelve (12) months from the date of delivery. Any garment found to be non-conforming shall be repaired or replaced at no additional cost to the Buyer within fourteen (14) business days.
- Confidentiality: The Tailor acknowledges that client measurements, design specifications, and corporate branding details shared under this Purchase Order are confidential and shall not be disclosed to any third party in Kazakhstan Almaty or elsewhere without written consent from the Buyer.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Kazakhstan. Any disputes arising from this Purchase Order shall be resolved by the competent commercial court in Kazakhstan Almaty.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures in Kazakhstan Almaty, or supply-chain disruptions affecting the Tailor's ability to source approved fabrics.
By signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the provision of Tailor services in Kazakhstan Almaty. The Tailor confirms availability of skilled personnel, equipment, and approved fabric stock to fulfill all line items within the stated delivery timeline.
