4. Delivery & Logistics Terms

The supplier shall deliver all items listed in this Purchase Order to the Al-Nakheel Tailor workshop located in Al-Salimiyah, Kuwait, Kuwait City, no later than 26 June 2025. Delivery must be completed between the hours of 08:00 and 16:00 Kuwait Standard Time (AST, UTC+3). All goods must be properly packaged, labelled with the Purchase Order number AT-2025-0472, and accompanied by a commercial invoice and packing list. The supplier is responsible for all transportation costs within Kuwait City and the State of Kuwait. In the event of partial delivery, the supplier must notify the buyer in writing at least 48 hours in advance.

5. Payment Terms

Payment for this Purchase Order shall be made via bank transfer to the supplier's designated account within 30 days from the date of confirmed receipt and quality inspection of all goods at the Tailor's workshop in Kuwait City. The buyer reserves the right to withhold payment for any items that fail to meet the specified quality standards. Late payments shall incur a penalty of 1.5% per month as per Kuwaiti commercial law. All amounts are denominated in Kuwaiti Dinar (KWD).

6. Quality & Acceptance Criteria

All fabrics, threads, buttons, and tailoring accessories supplied under this Purchase Order must conform to the specifications outlined in Section 3. The Al-Nakheel Tailor quality control team in Kuwait City will inspect all deliveries within 5 business days of receipt. Any defective or non-conforming materials must be replaced by the supplier at no additional cost within 10 business days. The supplier warrants that all textile products are free from manufacturing defects, colour bleeding, and contamination.

7. General Terms & Conditions

This Purchase Order is governed by the laws of the State of Kuwait and the Kuwaiti Commercial Code.
Any disputes arising from this Purchase Order shall be resolved through the competent courts in Kuwait City, State of Kuwait.
The supplier shall not subcontract any portion of the delivery obligations without prior written consent from the buyer.
This Purchase Order may be amended only by mutual written agreement signed by both parties.
The supplier acknowledges that the materials procured under this order are intended exclusively for the bespoke tailoring operations of Al-Nakheel Tailor & Bespoke Garments Co. in Kuwait City.
Force majeure events, including but not limited to natural disasters, government sanctions, or civil unrest in Kuwait, shall excuse timely performance for the duration of such event.
All intellectual property related to custom tailoring patterns and designs remains the sole property of the buyer.
