TERMS AND CONDITIONS
  1. Scope of Work: The Seller, identified as the Tailor service provider, shall perform all custom garment production, alterations, and on-site measurement services as detailed in the line items above. All work shall be executed in accordance with the highest standards of tailoring craftsmanship recognized in Mexico City and the broader Mexico market.
  2. Payment Terms: Payment shall be made in Mexican Pesos (MXN) via bank transfer to the account designated by the Tailor. A 40% advance payment is due upon acceptance of this Purchase Order. The remaining 60% shall be paid within fifteen (15) calendar days following final delivery and written acceptance by the Buyer. Late payments shall accrue interest at the rate established by the Banco de México.
  3. Delivery: All completed garments and services shall be delivered to the Buyer's facility located in Mexico City, Mexico, at the address specified above. The Tailor is responsible for proper packaging, labeling, and secure transportation within the Mexico City metropolitan area. Delivery dates are firm; any delay exceeding five (5) business days shall entitle the Buyer to a 2% per diem penalty on the affected line item value.
  4. Quality Assurance: The Tailor guarantees that all garments shall be free from defects in materials and workmanship for a period of ninety (90) days from the date of delivery. Any item found to be defective shall be repaired or replaced at no additional cost to the Buyer. The Buyer reserves the right to inspect all items upon delivery and reject any piece that does not conform to the approved samples and specifications.
  5. Materials and Sourcing: All fabrics, threads, linings, buttons, and accessories shall be of premium grade as specified in the attached technical annex. The Tailor shall provide certificates of origin for all imported materials. Substitution of materials without prior written approval from the Buyer is strictly prohibited.
  6. Confidentiality: The Tailor acknowledges that all client measurements, design specifications, and corporate branding elements shared under this Purchase Order are confidential. The Tailor shall not disclose, reproduce, or use such information for any purpose other than the fulfillment of this order. This obligation survives the termination of this Purchase Order for a period of three (3) years.
  7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the commercial laws of the United Mexican States, with specific reference to the regulations applicable in Mexico City. Any disputes arising from this Purchase Order shall be resolved through binding arbitration in Mexico City, Mexico, in accordance with the rules of the Centro de Arbitraje de la CDMX.
  8. Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or pandemics affecting operations in Mexico City or elsewhere in Mexico. The affected party shall notify the other within forty-eight (48) hours of the occurrence.
  9. Validity: This Purchase Order is valid for a period of thirty (30) days from the date of issue. If not accepted and signed by the Tailor within this period, the Buyer reserves the right to issue a revised Purchase Order with updated pricing and terms.
SPECIAL INSTRUCTIONS

The Tailor is requested to schedule all fitting sessions and on-site measurements at the Buyer's premises in Mexico City between 9:00 AM and 5:00 PM, Monday through Friday. All garments must be pressed, steamed, and packaged in individual garment bags with a care instruction card in both Spanish and English. The final delivery shall include a detailed invoice (factura) compliant with the SAT (Servicio de Administración Tributaria) requirements for Mexico.
