- This Purchase Order constitutes a binding agreement between Golden Lotus Tailor House (Buyer) and Yangon Premium Fabric & Trims Co., Ltd. (Seller) for the supply of tailor materials and custom garment production services in Myanmar Yangon.
- All fabric and trim items listed in Section 3 must meet the quality specifications agreed upon by the Buyer's senior Tailor team. A pre-production sample of each fabric lot must be approved in writing before bulk cutting commences.
- Delivery of all materials shall be made to the Buyer's workshop at 27th Street, Kyauktada Township, Yangon, Myanmar, no later than 30 June 2025. The Seller is responsible for all transportation costs within the Yangon metropolitan area.
- Custom tailoring services (Items 06 and 07) must be completed and delivered to the Buyer's premises in Myanmar Yangon by 28 June 2025. Each finished garment must pass a three-point quality inspection conducted by the Buyer's head Tailor.
- Payment shall be made within thirty (30) calendar days from the date of invoice receipt via bank transfer to the Seller's account at CB Bank, Yangon Branch. Late payments shall incur interest at the rate of 1.5% per month as per Myanmar commercial law.
- In the event of defective materials or garments that do not meet the agreed Tailor specifications, the Seller shall replace or repair the affected items within seven (7) business days at no additional cost to the Buyer.
- This Purchase Order is governed by the laws of the Republic of the Union of Myanmar. Any disputes arising from this order shall be resolved through negotiation in Yangon, Myanmar, and if unresolved, shall be submitted to the Yangon District Court for adjudication.
- The Seller warrants that all materials are free from defects, are of the grade and composition described, and comply with applicable Myanmar textile and consumer safety standards.
- Neither party may assign this Purchase Order or any obligations hereunder without the prior written consent of the other party.
- All communications regarding this order shall be directed to the contact persons listed in Sections 1 and 2. Verbal agreements do not modify the terms of this written Purchase Order.
