- Scope of Work: The Tailor, identified as "El Maestro" S.R.L., shall perform all tailoring services in its workshop located in Barranco, Peru Lima. All garments must be constructed to the exact measurements provided by the Buyer's clients during the initial fitting sessions conducted at the Tailor's premises.
- Quality Standards: All items must meet the quality specifications agreed upon in the supplementary technical annex. The Tailor guarantees that all stitching, buttonholes, and finishing will be executed to bespoke standards. Any item failing the final quality inspection in Peru Lima shall be reworked at no additional cost to the Buyer.
- Timeline: The Tailor shall complete all measurements within 10 business days of the issue date of this Purchase Order. Basted fittings shall be conducted no later than July 1, 2025. Final delivery of all completed garments to the Buyer's office in San Isidro, Peru Lima, shall occur no later than July 15, 2025.
- Payment: Payment shall be made via bank transfer to the Tailor's account (Banco de Crédito del Perú, Cta. Cte. 191-1234567-0-12) within thirty (30) calendar days of the date of final delivery and acceptance of all items. A formal invoice (Factura) compliant with SUNAT regulations in Peru Lima must accompany the delivery.
- Materials: The Tailor is responsible for sourcing all fabrics, linings, threads, buttons, and auxiliary materials unless otherwise specified. All materials must be of premium grade and suitable for executive wear. The Tailor shall provide material samples for Buyer approval prior to cutting.
- Confidentiality: The Tailor acknowledges that client measurements and personal data collected during fittings in Peru Lima are confidential. No information shall be disclosed to third parties without written consent from the Buyer.
- Warranty: The Tailor provides a six-month warranty on all structural elements (seams, linings, canvas) of each garment. Repairs within this period shall be performed at the Tailor's workshop in Barranco, Peru Lima, at no charge.
- Governing Law: This Purchase Order shall be governed by the commercial laws of the Republic of Peru. Any disputes arising from this Purchase Order shall be resolved in the competent courts of Peru Lima, specifically the Judicial District of Lima.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters affecting the Peru Lima metropolitan area, government-mandated closures, or supply chain disruptions.
Final delivery of all completed items shall be made to the Buyer's warehouse located at Av. Javier Prado Este 1245, San Isidro, Peru Lima. The Tailor shall arrange secure transportation from its workshop in Barranco to the delivery address. All garments must be individually packaged in branded garment bags with tissue paper protection. A packing list and delivery note must accompany each shipment. The Buyer's receiving officer shall inspect all items upon arrival and sign the delivery receipt. Any discrepancies must be reported within 48 hours of delivery in Peru Lima.
