- Scope of Work: This Purchase Order authorizes Santos & Co. Master Tailoring House (hereinafter referred to as the "Tailor") to perform all custom tailoring, garment production, alteration, and repair services as itemized above. The Tailor shall ensure that all garments meet the specifications, measurements, and quality standards agreed upon during the initial consultation in the Philippines Manila area.
- Delivery: All completed garments and services shall be delivered to Meridian Corporate Apparel Solutions, Inc. at its office located at 128 Ayala Avenue, Makati City, Philippines Manila 1226. The Tailor is responsible for all transportation, handling, and insurance of the garments during transit within the Philippines Manila metropolitan area. Delivery shall be made no later than August 15, 2025, unless otherwise specified per line item.
- Quality Assurance: The Tailor guarantees that all workmanship shall be of the highest standard. Any garment found to be defective, improperly fitted, or not conforming to the approved measurements within fourteen (14) calendar days of delivery shall be repaired or replaced at no additional cost to the buyer. The Tailor shall conduct a minimum of two (2) fitting sessions per client before final production.
- Payment: Payment shall be made within thirty (30) calendar days from the date of receipt of a valid Official Receipt (OR) issued by the Tailor, in accordance with the Philippine Bureau of Internal Revenue (BIR) regulations. Payment shall be made via bank transfer to the account designated by the Tailor. The Purchase Order total of PHP 1,293,040.00 (inclusive of 12% VAT) is the maximum amount payable under this order.
- Confidentiality: The Tailor acknowledges that all client measurements, corporate branding materials, and design specifications are proprietary to Meridian Corporate Apparel Solutions, Inc. The Tailor shall not disclose, reproduce, or use such information for any other client or purpose without prior written consent.
- Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or supply chain disruptions affecting the Philippines Manila region.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes arising herefrom shall be resolved through amicable negotiation, and failing that, through the appropriate courts of the Philippines Manila jurisdiction.
- Validity: This Purchase Order is valid for a period of sixty (60) days from the date of issue. The Tailor must confirm acceptance in writing within five (5) business days of receipt of this document.
