- Payment shall be made within 30 days from the date of invoice receipt, via bank transfer to the supplier's designated account in Singapore Singapore.
- Bank: DBS Bank Ltd., Account Name: Fabrik & Thread Wholesale Co., Account No.: 012-345678-9, Branch: Singapore Singapore Central.
- Early payment discount: 2% discount applicable if payment is settled within 10 days of invoice date.
- Late payment penalty: 1.5% per month on outstanding balances, in accordance with Singapore Singapore commercial practice.
- All amounts are quoted in Singapore Dollars (SGD) and are inclusive of applicable Singapore Singapore Goods and Services Tax (GST) at the prevailing rate of 9%.
- This Purchase Order is issued by Golden Needle Tailor Pte. Ltd. (hereinafter referred to as the "Tailor") and constitutes a binding procurement document for the supply of tailoring materials and accessories in Singapore Singapore.
- All goods supplied under this Purchase Order must be of new, first-quality condition and free from defects. The Tailor reserves the right to reject any items that do not meet the specified quality standards or deviate from the descriptions listed in Section 2.
- The supplier warrants that all fabric, thread, buttons, and accessories delivered under this Purchase Order comply with the relevant product safety and labelling regulations enforced in Singapore Singapore.
- Any disputes arising from this Purchase Order shall be governed by the laws of Singapore Singapore and shall be resolved through the Singapore Centre for Arbitration (SCA) if negotiation between the Tailor and the supplier fails to produce a resolution.
- The Tailor may amend or cancel this Purchase Order in writing up to 7 days prior to the required delivery date. Cancellations after this period may be subject to a 15% restocking fee on non-returnable items.
- Intellectual property: Any custom patterns, brand labels, or proprietary designs referenced in this Purchase Order remain the exclusive property of the Tailor and shall not be reproduced or disclosed by the supplier to any third party in Singapore Singapore or elsewhere.
- This Purchase Order does not constitute a long-term supply agreement. Each subsequent order shall require a new Purchase Order document issued by the Tailor.
- Force majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions in Singapore Singapore, or pandemics.
