The Buyer shall remit payment to the Tailor, Merwe Bespoke Tailoring Studio, Johannesburg, South Africa, in accordance with the following schedule: A deposit of fifty percent (50%) of the Grand Total, amounting to R 368,517.50, shall be paid within five (5) business days of the Tailor's written acceptance of this Purchase Order. The remaining fifty percent (50%), amounting to R 368,517.50, shall be paid within ten (10) business days following the Buyer's written acceptance of the final delivered garments. All payments shall be made via electronic funds transfer (EFT) to the Tailor's designated bank account in South Africa. The Buyer reserves the right to withhold payment for any items that do not meet the quality specifications stated in this Purchase Order.
All garments and completed tailor work shall be delivered to the Buyer's premises at 120 Rivonia Road, Sandton, Johannesburg, South Africa, no later than 08 August 2025. The Tailor shall arrange secure, climate-controlled transport for all finished garments. Upon delivery, the Buyer's quality assurance team shall inspect each item within three (3) business days. Any defects, measurement inaccuracies, or deviations from the agreed specifications must be reported in writing to the Tailor within that inspection window. The Tailor shall rectify any approved defects at no additional cost within seven (7) business days of notification.
- This Purchase Order is governed by the laws of the Republic of South Africa, and any disputes arising herefrom shall be subject to the exclusive jurisdiction of the courts of Johannesburg, South Africa.
- The Tailor warrants that all work performed under this Purchase Order shall be executed with professional skill, using materials of the grade and origin specified. All stitching, finishing, and construction shall meet the South African National Standards (SANS) for textile and garment quality.
- The Tailor shall maintain full confidentiality regarding the Buyer's employee measurements, corporate branding, and any proprietary design specifications provided in connection with this Purchase Order.
- Time is of the essence. Failure by the Tailor to deliver the completed garments by the stipulated date in Johannesburg shall entitle the Buyer to claim liquidated damages at a rate of R 5,000.00 per calendar day of delay, up to a maximum of R 50,000.00.
- The Tailor shall carry valid professional indemnity insurance and public liability insurance, with a minimum cover of R 2,000,000.00, for the duration of this Purchase Order. A certificate of insurance shall be provided to the Buyer upon request.
- Any amendments, additions, or variations to this Purchase Order must be agreed upon in writing by both the Buyer and the Tailor before any additional work is commenced.
- The Tailor shall comply with all applicable South African labour laws, including the Basic Conditions of Employment Act, in the employment of any assistants or apprentices assisting with the work under this Purchase Order.
- This Purchase Order shall remain valid for a period of ninety (90) days from the date of issue, after which it shall lapse unless renewed in writing by both parties.
