- Acceptance: This Purchase Order becomes binding upon written acceptance by the Tailor, Atelier Costa Brava Sastre & Confección, located in Spain Barcelona. The Tailor shall confirm acceptance in writing within five (5) business days of receipt of this Purchase Order.
- Quality Standards: All garments and tailoring services shall be executed to the highest standard expected of a professional Tailor in Spain Barcelona. The Tailor guarantees that all bespoke items will be constructed using traditional hand-finishing techniques where specified, and all made-to-measure items will pass a minimum of two (2) fitting sessions before final delivery.
- Materials: All fabrics, linings, buttons, and trims shall be sourced from approved suppliers. The Tailor shall provide material certificates upon request. Any substitution of materials must be pre-approved in writing by the Buyer's Procurement Manager.
- Delivery: All items shall be delivered to the Buyer's premises at Passeig de Gràcia, 88, Barcelona, Spain, in accordance with the delivery schedule specified in Section 4. Late delivery beyond the stated dates shall incur a penalty of 0.5% of the affected line-item value per calendar day, up to a maximum of 5%.

- Confidentiality: The Tailor agrees to maintain strict confidentiality regarding the Buyer's corporate identity, employee measurements, and any proprietary design specifications shared in connection with this Purchase Order.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Spain. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Barcelona, Spain.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or supply chain disruptions affecting the Tailor's operations in Spain Barcelona.
