- Acceptance: By signing this Purchase Order, the Tailor (Master Tailor R. Perera & Associates) acknowledges and accepts all terms, specifications, and delivery obligations outlined herein. This Purchase Order constitutes a binding agreement between the Buyer in Sri Lanka Colombo and the Tailor.
- Quality Standards: The Tailor shall ensure that all garments meet the quality benchmarks set by Ceylon Heritage Textiles. All stitching must be even, hems must be precise, and fabric handling must reflect the high standard expected of a professional Tailor operating in the competitive Sri Lanka Colombo garment market. Any garment found defective upon inspection will be returned to the Tailor for rework at no additional cost.
- Delivery: The Tailor shall deliver all 120 completed garments to the Buyer's warehouse at Galle Road, Sri Lanka Colombo 03, no later than 10 July 2025. Delivery shall be made between 09:00 and 16:00 hours. The Tailor is responsible for safe transport within Sri Lanka Colombo and shall bear any transit damage.
- Payment: An advance payment of 50% (LKR 650,500) shall be transferred to the Tailor's bank account within five (5) business days of mutual acceptance of this Purchase Order. The remaining 50% (LKR 650,500) shall be paid within seven (7) business days following successful final inspection and acceptance of all delivered items.
- Confidentiality: The Tailor agrees to maintain strict confidentiality regarding client measurements, design specifications, and any proprietary patterns shared under this Purchase Order. This obligation extends beyond the completion of the order and remains in effect for a period of two (2) years.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through amicable negotiation. Should negotiation fail, the matter shall be referred to the Colombo District Court in Sri Lanka Colombo for adjudication under the laws of the Democratic Socialist Republic of Sri Lanka.
- Force Majeure: Neither party shall be held liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions in Sri Lanka Colombo, or supply chain disruptions affecting the Tailor's ability to source materials.
- Amendments: Any modifications to this Purchase Order must be made in writing and signed by both the Buyer's authorized representative and the Tailor. Verbal agreements shall not be considered valid amendments to this document.
The Tailor is reminded that all garments under this Purchase Order must be completed in the Tailor's own workshop located in Pettah, Sri Lanka Colombo, and must not be subcontracted to any third-party stitching unit without prior written consent from Ceylon Heritage Textiles. The Tailor shall maintain a dedicated fitting room for our client representatives, who will visit the Tailor's premises in Sri Lanka Colombo for measurement sessions between 18 June and 25 June 2025. The Tailor shall provide a point of contact available by telephone and email throughout the production period to address any queries arising under this Purchase Order.
