- Scope of Tailor Engagement: This Purchase Order authorizes the named Tailor, Master Tailor Ibrahim El-Tahir & Associates, to perform all custom tailoring, garment construction, fabric sourcing, and alteration services as itemized above. The Tailor shall ensure all workmanship meets the quality standards agreed upon during the initial fitting consultation conducted at the Tailor's workshop in Sudan Khartoum.
- Delivery Location: All completed garments, fabrics, and finished tailoring work shall be delivered to the buyer's premises at Al-Nile Garments & Textile Co., Ltd., El-Mahatta Street, Omdurman District, Sudan Khartoum. The Tailor is responsible for safe transport within the Sudan Khartoum metropolitan area.
- Timeline and Milestones: The Tailor shall submit a detailed production schedule within five (5) business days of accepting this Purchase Order. A first-round fitting session for all custom-tailored items shall be conducted no later than 25 June 2025 at the Tailor's workshop in Sudan Khartoum. Final delivery of all items is due by 30 July 2025.
- Quality Assurance: The Tailor guarantees that all stitching, seams, buttonholes, linings, and finishing details shall be free from defects. Any garment found to be below the agreed standard upon inspection at the Sudan Khartoum delivery point shall be reworked or replaced at the Tailor's sole expense within seven (7) calendar days.
- Payment Schedule: A 30% advance payment (SDG 990,165) shall be remitted to the Tailor upon signing of this Purchase Order. A further 50% (SDG 1,650,275) shall be due upon completion of the first-round fitting and approval of fabric samples. The remaining 20% (SDG 660,110) shall be paid within thirty (30) days of final delivery and acceptance in Sudan Khartoum.
- Material Sourcing: The Tailor shall source all fabrics, threads, buttons, zippers, and interlinings from verified suppliers. For imported materials (e.g., Italian wool), the Tailor shall provide customs clearance documentation and proof of origin. All materials must comply with Sudanese textile import regulations as enforced in Sudan Khartoum.
- Confidentiality: The Tailor acknowledges that employee measurements, corporate branding details, and design specifications shared under this Purchase Order are confidential. No patterns, measurements, or design files shall be reproduced or shared with third parties without written consent from the buyer.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to power outages, transport disruptions within Sudan Khartoum, or government-mandated closures. The affected party must notify the other within 48 hours.
- Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the laws of the Republic of the Sudan. Any disputes arising from this Purchase Order relating to the Tailor's services shall be resolved through the commercial courts of Sudan Khartoum.
- Validity: This Purchase Order is valid for acceptance within ten (10) calendar days from the date of issue. Failure to accept within this period shall render this document null and void.
