The scope of this Purchase Order encompasses the design, cutting, stitching, and finishing of a full collection of executive garments for the senior leadership team of the Buyer. The Tailor acknowledges receipt of this Purchase Order and confirms full acceptance of all terms, conditions, specifications, and delivery timelines outlined herein. The Tailor further confirms that all materials, labour, and finishing processes shall be carried out at the Tailor's registered workshop located in Switzerland Zurich, and no portion of the production shall be outsourced to third-party facilities outside of the canton of Zurich without prior written consent from the Buyer.

- Acceptance: This Purchase Order shall be deemed accepted by the Tailor upon written confirmation (email or signed copy) within five (5) business days of the date of issue. Failure to confirm within this period shall constitute a rejection of this Purchase Order.
- Delivery: All garments and services specified in this Purchase Order shall be delivered to the Buyer's premises at Bahnhofstrasse 142, 8001 Zurich, Switzerland, no later than 29 August 2025. The Tailor shall coordinate a final fitting session in Switzerland Zurich no fewer than ten (10) business days prior to the delivery deadline.
- Quality Standards: The Tailor warrants that all garments shall be constructed to the highest standards of Swiss bespoke tailoring. Any garment found to be defective in workmanship, material, or fit upon delivery shall be repaired or replaced at the Tailor's sole expense within fourteen (14) days of notification.
- Payment Terms: A deposit of 40% (CHF 44,540.41) shall be due upon acceptance of this Purchase Order. The remaining 60% (CHF 66,810.62) shall be payable within thirty (30) days of final delivery and written acceptance by the Buyer. Payment shall be made via bank transfer to the Tailor's account at UBS AG, Zurich, Switzerland (IBAN: CH93 0076 2011 6238 5295 7).
- Confidentiality: The Tailor agrees to maintain strict confidentiality regarding the identities of the individuals for whom garments are being tailored, as well as all design specifications and measurements provided by the Buyer. This obligation shall survive the completion of this Purchase Order for a period of five (5) years.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, political unrest in Switzerland, or government-mandated closures. The Tailor shall notify the Buyer in writing within 48 hours of any such event affecting the production timeline.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Canton of Zurich, Switzerland. Any disputes arising from this Purchase Order shall be resolved by the competent courts of Switzerland Zurich.
- Intellectual Property: All patterns, measurements, and design specifications created by the Tailor specifically for this Purchase Order shall remain the exclusive property of the Buyer. The Tailor shall not reproduce, sell, or distribute any such patterns to third parties.
The Tailor is requested to schedule all fitting appointments at the Atelier Schneider & Söhne workshop in Switzerland Zurich, or alternatively at the Buyer's office on Bahnhofstrasse, at the Buyer's discretion. The Tailor shall provide a dedicated senior fitter for all sessions. All fabric selections shall be presented in person at the Tailor's showroom in Zurich, and the Buyer reserves the right to approve or reject any material prior to cutting. The Tailor shall provide a written progress report every two (2) weeks from the date of acceptance until final delivery.
