1. Place of Performance: All tailoring, cutting, stitching, and finishing work under this Purchase Order shall be carried out exclusively at the vendor’s registered workshop located in Fatih, Istanbul, Turkey. The buyer reserves the right to conduct unannounced quality inspections at the Istanbul workshop during the production period.
2. Delivery Schedule: The tailor shall deliver all completed garments to the buyer’s office in Beşiktaş, Istanbul, no later than 15 September 2025. Partial deliveries are permitted in weekly batches, provided each batch is accompanied by a packing list and a quality certificate signed by the master tailor.
3. Payment Terms: A 30% advance payment (TRY 1,036,800.00) shall be remitted within five (5) business days of the acceptance of this Purchase Order. The remaining 70% balance (TRY 2,419,200.00) shall be paid within fifteen (15) business days of final delivery and written acceptance by the buyer’s quality assurance team. All payments shall be made via bank transfer to the vendor’s account at Ziraat Bankası, Istanbul branch.
4. Quality Standards: The tailor guarantees that all garments shall conform to the Turkish Standard TS EN 13592 (safety of clothing — flammability) and the buyer’s internal specification sheet attached as Appendix A. Any garment failing the final inspection at the Istanbul workshop shall be reworked at the tailor’s own cost within seven (7) calendar days.
5. Intellectual Property: All embroidery patterns, logo placements, and design modifications created specifically for this Purchase Order remain the exclusive property of Meridian Corporate Apparel Ltd. The tailor in Istanbul shall not reproduce, sell, or distribute any proprietary designs to third parties.
6. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters affecting the Istanbul metropolitan area, government-mandated closures, or supply-chain disruptions within Turkey.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Turkey. Any disputes arising from this Purchase Order shall be resolved by the competent commercial courts of Istanbul, Turkey.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the tailoring services to be performed in Istanbul, Turkey. This document constitutes a binding commercial agreement between the buyer and the tailor for the duration of the project.
