This Purchase Order is issued by Al Noor Hospitality Group LLC (hereinafter referred to as the "Buyer") to Emirates Bespoke Tailor House (hereinafter referred to as the "Tailor" or "Seller"), a licensed and registered tailoring establishment operating in United Arab Emirates Dubai. - Scope of Work: The Tailor, Emirates Bespoke Tailor House, shall perform all tailoring, cutting, stitching, fitting, alteration, and finishing services as described in the line items above. All work shall be carried out at the Tailor's licensed premises in Al Quoz, Dubai, United Arab Emirates, unless otherwise specified in this Purchase Order.
- Quality Standards: The Tailor warrants that all garments shall be constructed to the highest bespoke tailoring standards. Each executive suit shall undergo a minimum of two in-person fittings at the Tailor's Dubai workshop. Any garment that does not meet the agreed specifications shall be reworked at no additional cost to the Buyer.
- Delivery Schedule: The Tailor shall deliver all completed garments to the Buyer's designated receiving address in Dubai, United Arab Emirates, no later than 28 June 2025. Partial deliveries are not permitted unless mutually agreed in writing by both parties.
- Payment Terms: The Buyer shall remit payment of the full Purchase Order amount of AED 154,276.50 (One Hundred Fifty-Four Thousand Two Hundred Seventy-Six Dirhams and Fifty Fils) within thirty (30) calendar days of the date of this Purchase Order, via bank transfer to the Tailor's designated corporate account in the United Arab Emirates. A valid tax invoice from the Tailor shall accompany the delivery.
- Warranty: The Tailor provides a ninety (90) day warranty on all stitching, seams, and structural integrity of the tailored garments. Any defect arising from the Tailor's workmanship within this period shall be repaired or replaced at the Tailor's sole expense.
- Confidentiality: The Tailor acknowledges that the Buyer's corporate branding, employee data, and design specifications are confidential. The Tailor shall not disclose, reproduce, or use any proprietary information obtained through this Purchase Order for any purpose other than fulfilling the order.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the United Arab Emirates, specifically the commercial laws applicable in the Emirate of Dubai. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the Dubai Courts.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to government-mandated closures in Dubai, supply chain disruptions affecting fabric imports, or public health emergencies in the United Arab Emirates.
- Amendments: Any modification to this Purchase Order, including changes to quantities, fabric selections, or delivery timelines, must be documented in a written amendment signed by authorized representatives of both the Buyer and the Tailor.
- Validity: This Purchase Order is valid for a period of sixty (60) days from the date of issue. If the Tailor has not acknowledged receipt and acceptance of this Purchase Order within ten (10) business days, the Buyer reserves the right to cancel this Purchase Order without penalty.
By signing below, the Buyer confirms the issuance of this Purchase Order for the specified tailoring services and materials, and the Tailor confirms acceptance of all terms, conditions, quantities, and pricing as set forth in this document. Both parties acknowledge that this Purchase Order constitutes a binding commercial agreement for the provision of bespoke tailoring services in United Arab Emirates Dubai.
