- This Purchase Order constitutes a binding agreement between West Midlands Corporate Attire Ltd. (the “Buyer”) and Ashworth & Sons Bespoke Tailors Ltd. (the “Tailor” or “Supplier”) for the provision of bespoke tailoring services and finished garments as described herein.
- All garments and tailoring work shall be executed in accordance with the highest standards of British craftsmanship. The Tailor warrants that all materials sourced shall be of premium grade and free from defects at the time of delivery.
- The Tailor shall provide a minimum of three fitting sessions per client at their workshop located on New Street, Birmingham, United Kingdom. Any additional fittings required due to the Tailor’s error shall be provided at no extra charge.
- Payment shall be made by BACS bank transfer within thirty (30) calendar days of receipt of a valid tax invoice from the Tailor. Late payments shall attract interest at a rate of 4% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
- The Buyer reserves the right to inspect all garments upon delivery. Any item found to be defective, incorrectly tailored, or not conforming to the agreed specifications shall be returned to the Tailor for rectification within fourteen (14) days at the Tailor’s sole cost.
- Delivery of all items is strictly due by 08 August 2025. In the event of a delay exceeding five (5) business days, the Buyer may, at its sole discretion, cancel the affected line items and claim a penalty of 2% of the affected order value per week of delay.
- All personal data collected during the measurement and fitting process shall be handled in strict compliance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. The Tailor shall not share client measurements or personal information with any third party without explicit written consent.
- This Purchase Order is governed by and shall be construed in accordance with the laws of England and Wales. Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the courts of Birmingham, United Kingdom.
- Any amendments to this Purchase Order must be made in writing and signed by both parties. Verbal agreements or informal communications shall not constitute a valid modification of this document.
- The Tailor shall maintain adequate public liability insurance (minimum £5,000,000) and professional indemnity insurance throughout the duration of this contract and shall provide certificates of insurance upon request.
This Purchase Order is issued and authorised by the undersigned on behalf of West Midlands Corporate Attire Ltd. The Tailor is requested to confirm acceptance of all terms, conditions, and line items by signing below and returning a copy of this document to the Buyer’s procurement department within five (5) business days of receipt.
