All tailored garments and completed tailoring services under this Purchase Order shall be delivered to the Buyer's premises at Unit 12, Salford Quays Business Park, Manchester, United Kingdom. The Tailor shall ensure that all items are delivered no later than 28 July 2025. Delivery shall be arranged by the Tailor's own courier service operating within United Kingdom Manchester and the surrounding metropolitan area. The Buyer shall be notified at least 48 hours in advance of any delivery. Risk of loss or damage to the garments shall remain with the Tailor until the items are signed for by an authorised representative of the Buyer at the Manchester delivery address.
Payment for this Purchase Order shall be made by direct bank transfer to the Tailor's designated business account. The Buyer shall remit 40% of the total Purchase Order value (£28,864.80) as an advance deposit within five (5) working days of the date of this Purchase Order. The remaining 60% (£43,297.20) shall be due within thirty (30) calendar days of the date of final delivery and acceptance of all tailored garments. Late payments shall attract interest at a rate of 2% per month in accordance with the Late Payment of Commercial Debts (Interest) Act 1998, applicable throughout the United Kingdom. All payments are subject to the Buyer's standard credit terms as a registered entity in Manchester, United Kingdom.
The Tailor warrants that all garments produced under this Purchase Order shall be of the highest quality, constructed using premium fabrics and executed with the craftsmanship expected of a master Tailor in United Kingdom Manchester. Each garment shall undergo a minimum of two fitting sessions before final completion. The Tailor shall provide a written quality assurance certificate with each delivery, confirming that all items meet the specifications outlined in this Purchase Order. Any garment found to be defective or not conforming to the agreed measurements shall be re-tailored or replaced at no additional cost to the Buyer within fourteen (14) days of the defect being reported. The Tailor shall maintain full public liability insurance of no less than £5,000,000 for the duration of this Purchase Order.
Either party may cancel or amend this Purchase Order only by written notice to the other party. Cancellation by the Buyer prior to the commencement of tailoring work shall result in the forfeiture of the advance deposit. Cancellation after work has commenced shall be subject to a pro-rata charge for materials and labour already expended by the Tailor. Any amendment to the scope, quantity, or specifications of this Purchase Order must be agreed in writing by both parties and shall be documented as a formal amendment to this Purchase Order. The Tailor reserves the right to reject amendments that would compromise the structural integrity or quality of the tailored garments.
This Purchase Order shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Manchester, United Kingdom. Both parties agree to attempt mediation through the Manchester Chamber of Commerce before initiating any formal legal proceedings. The Tailor acknowledges that this Purchase Order is a commercial document issued in the United Kingdom and is subject to all applicable UK trade, consumer, and employment regulations relevant to the tailoring industry in Manchester.
By signing below, both parties confirm that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order. The Tailor confirms acceptance of the order and commits to delivering all tailored garments and services in accordance with the timelines and quality standards specified herein. This Purchase Order is valid only when signed and dated by authorised representatives of both the Buyer and the Tailor.
