1. Scope of Tailor Services: This Purchase Order authorizes Bayou City Bespoke Tailoring Co. (hereinafter referred to as "the Tailor") to perform all custom tailoring, made-to-measure garment construction, and alteration services as itemized above. The Tailor shall employ only master-level craftsmen and shall adhere to the bespoke construction standards outlined in the attached specification annex. All work shall be completed at the Tailor's workshop located in United States Houston, Texas, unless otherwise agreed in writing.
2. Fittings and Adjustments: The Buyer's personnel shall attend all scheduled fitting appointments at the Tailor's Houston location. A minimum of two fittings per bespoke garment is required. The Tailor shall provide written confirmation of each fitting and any subsequent adjustments. If a garment does not meet the agreed-upon fit after the third adjustment, the Tailor shall remake the affected piece at no additional cost to the Buyer.
3. Delivery and Acceptance: All completed garments and services shall be delivered to the Buyer's facility in United States Houston no later than July 1, 2025. The Buyer shall have five (5) business days from the date of delivery to inspect all items. Any defects in workmanship, stitching, or fabric quality must be reported in writing within this inspection window. The Tailor shall rectify any approved defects within ten (10) business days of notification.
4. Payment Schedule: A deposit of fifty percent (50%) of the Grand Total, amounting to $49,307.88, shall be remitted via ACH transfer within five (5) business days of the Buyer's written acceptance of this Purchase Order. The remaining balance of $49,307.87 shall be due within thirty (30) days of the final delivery invoice. Late payments shall accrue interest at a rate of 1.5% per month.
5. Cancellation and Modification: The Buyer may cancel or modify this Purchase Order in writing up to fourteen (14) days prior to the scheduled delivery date. Cancellations within fourteen days of delivery shall be subject to a 25% penalty on the value of affected line items. The Tailor reserves the right to decline modifications that would compromise the structural integrity of bespoke garments already in production.
6. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Texas, United States. Any disputes arising from this Purchase Order shall be resolved through binding arbitration in Houston, Texas, in accordance with the rules of the American Arbitration Association.
7. Confidentiality: Both parties agree to maintain strict confidentiality regarding all measurements, personal data, and business information exchanged in connection with this Purchase Order. The Tailor shall not disclose any client-specific garment details to third parties without written consent from the Buyer.
