- Scope of Work: The Tailor, Sterling & Voss Bespoke Tailoring Atelier, shall provide all custom tailoring, garment construction, alterations, and fitting services as itemized above. All garments shall be constructed in the United States, New York City, in accordance with the specifications and measurements provided by Meridian Corporate Apparel Group.
- Quality Standards: All tailored garments must meet the quality benchmarks established in the attached specification sheet. The Master Tailor shall conduct a final quality inspection prior to delivery. Any garment failing to meet the agreed-upon standard shall be re-tailored or replaced at no additional cost to the buyer.
- Delivery: All completed garments and services shall be delivered to the receiving location in New York City, United States, no later than July 18, 2025. Delivery shall be made via local courier within the five boroughs of New York City. The Tailor is responsible for proper packaging and labeling of all items.
- Payment: Payment shall be made within thirty (30) calendar days of the date of invoice, via ACH transfer to the account designated by the Tailor. Late payments shall accrue interest at a rate of 1.5% per month as permitted under New York State commercial law.
- Warranty: The Tailor warrants all workmanship for a period of twelve (12) months from the date of delivery. This warranty covers defects in stitching, construction, and fitting adjustments. The warranty does not cover normal wear, damage caused by improper care, or alterations performed by third parties outside the Tailor's atelier in New York City.
- Confidentiality: The Tailor agrees to maintain strict confidentiality regarding all client measurements, corporate branding, and internal business information obtained during the course of this Purchase Order. This obligation shall survive the termination of this agreement for a period of three (3) years.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of New York, United States. Any disputes arising hereunder shall be resolved through binding arbitration in New York City pursuant to the rules of the American Arbitration Association.
- Compliance: The Tailor represents and warrants that all labor practices comply with the New York City Fair Workweek Law, the New York State Labor Law, and all applicable federal employment regulations. All materials used in garment construction shall be sourced in compliance with applicable United States import and textile labeling regulations.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from causes beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting operations in New York City, United States.
