Terms and Conditions of This Purchase Order
- Scope of Tailor Services: The Seller, Osh & Silk Tailor House, FZE, shall provide all tailoring, cutting, stitching, fitting, and finishing services as a licensed Tailor operating in Uzbekistan Tashkent. All garments must meet the buyer's specifications and the quality benchmarks of the Uzbekistan Tashkent garment trade association.
- Payment Terms: Payment shall be made in three installments: 40% upon signing this Purchase Order, 40% upon completion of 75% of the Tailor work, and 20% upon final delivery and acceptance in Tashkent. All payments shall be transferred via bank wire to the Seller's account at National Bank of Uzbekistan, Tashkent branch.
- Delivery and Acceptance: All finished items shall be delivered to the buyer's warehouse at 42 Amir Temur Avenue, Tashkent, Uzbekistan. The buyer shall have five (5) business days from delivery to inspect and accept or reject the Tailor's work. Rejected items must be reworked by the Tailor at no additional cost within ten (10) business days.
- Quality Assurance: The Tailor shall ensure all stitching, seams, and finishes conform to the agreed-upon quality standards. Any garment showing defects in workmanship, incorrect measurements, or material substitution shall be considered non-conforming and subject to replacement.
- Intellectual Property: All patterns, designs, and specifications provided by the buyer remain the exclusive property of Tashkent Premium Apparel Co., Ltd. The Tailor shall not reproduce, sell, or disclose these designs to any third party in Uzbekistan Tashkent or elsewhere.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to government-mandated closures in Tashkent, supply chain disruptions, or natural disasters affecting the Uzbekistan Tashkent region.
- Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the Civil Code of the Republic of Uzbekistan and applicable trade regulations of Uzbekistan Tashkent. Any disputes shall be resolved through the Tashkent City Arbitration Court.
- Validity: This Purchase Order is valid for thirty (30) days from the date of issue. If not accepted and signed by the Seller within this period, it shall automatically expire and must be reissued.
