4.1 Delivery and Location. All garments and materials covered by this Purchase Order shall be delivered to the buyer's warehouse located at Av. Francisco de Miranda, Torre Empresarial, Piso 12, Chacao, Caracas, Venezuela. The Tailor is responsible for all transportation, handling, and insurance of the goods from the workshop in El Rosal, Chacao, to the final delivery point within Caracas. Delivery must be completed no later than July 15, 2025. Late delivery beyond five (5) business days shall incur a penalty of 2% of the total Purchase Order value per week of delay.

4.2 Quality Standards. The Tailor guarantees that all garments shall be constructed to the highest standards of bespoke tailoring, using only the materials specified in Section 2. All stitching shall be uniform, with no visible defects, loose threads, or misaligned seams. Each garment must pass a three-stage quality inspection (fabric inspection, mid-construction check, and final fitting) before being deemed acceptable. The buyer reserves the right to reject any item that does not conform to the agreed specifications, and the Tailor shall replace rejected items at no additional cost within ten (10) business days.

4.3 Payment Schedule. A 40% advance payment ($15,873.44 USD) shall be due within five (5) business days of the acceptance of this Purchase Order. The remaining 60% ($23,810.16 USD) shall be due within thirty (30) calendar days of the final delivery and written acceptance of all goods by the buyer. Payment shall be made via bank transfer to the account designated by the Tailor in Caracas, Venezuela. In the event of a currency fluctuation exceeding 10% between the date of this Purchase Order and the date of final payment, the parties shall negotiate in good faith to adjust the VES equivalent.

4.4 Intellectual Property and Confidentiality. All design patterns, measurements, and client-specific details shared with the Tailor under this Purchase Order are the exclusive property of Casa de Modas El Águila, C.A. The Tailor shall not reproduce, sell, or disclose any proprietary designs or client information to third parties. This obligation survives the termination of this Purchase Order for a period of five (5) years.

4.5 Force Majeure. Neither party shall be liable for delays or failures in performance resulting from events beyond their reasonable control, including but not limited to natural disasters, government-imposed restrictions, power outages (apagones) affecting the Caracas metropolitan area, or disruptions in the supply chain for imported textile materials. The affected party must notify the other within forty-eight (48) hours of the occurrence of such an event.

4.6 Governing Law and Dispute Resolution. This Purchase Order shall be governed by and construed in accordance with the Commercial Code of the Republic of Venezuela and applicable municipal regulations of Caracas. Any dispute arising from this Purchase Order shall first be subject to good-faith mediation in Caracas. If mediation fails within thirty (30) days, the dispute shall be referred to the competent commercial courts of the state of Miranda, where the city of Caracas is located.

4.7 Validity. This Purchase Order is valid for a period of sixty (60) days from the date of issue. If the Tailor does not confirm acceptance in writing within ten (10) business days, this Purchase Order shall be considered null and void.
