- Place of Performance: All tailoring work, fittings, and quality inspections shall be conducted at the Tailor's workshop located at 45 Le Thanh Ton Street, District 1, Vietnam Ho Chi Minh City, or at such other location within Vietnam Ho Chi Minh City as mutually agreed in writing.
- Payment Terms: A 40% advance payment (VND 298,980,000) shall be remitted within five (5) business days of this Purchase Order's acceptance. The remaining 60% balance (VND 448,470,000) is due within ten (10) business days following final delivery and written acceptance of all tailored garments.
- Delivery: The Tailor shall deliver all completed items to the Buyer's office at 128 Nguyen Hue Boulevard, District 1, Vietnam Ho Chi Minh City, at no additional shipping cost. Delivery shall be made in clearly labeled, garment-protected packaging.
- Quality Assurance: The Tailor guarantees that all garments shall be free from stitching defects, fabric flaws, and measurement errors. A minimum of two (2) fitting sessions per client shall be conducted at the Tailor's Vietnam Ho Chi Minh City workshop before final production.
- Warranty: The Tailor provides a ninety (90) day warranty on all bespoke tailoring work. Any structural failure (seam splitting, lining detachment) within this period shall be repaired at the Tailor's own cost.
- Confidentiality: The Tailor agrees to maintain strict confidentiality regarding client measurements, design specifications, and corporate branding details. No information pertaining to this Purchase Order shall be disclosed to third parties without written consent.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures in Vietnam Ho Chi Minh City, or supply chain disruptions affecting the local textile market.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Socialist Republic of Vietnam. Any disputes shall be resolved through the Commercial Arbitration Center of Vietnam Ho Chi Minh City (VIAC).
- Amendments: Any modification to this Purchase Order must be made in writing and signed by authorized representatives of both the Buyer and the Tailor. Verbal agreements are not binding.
By signing below, both parties acknowledge and agree to the terms set forth in this Purchase Order for the tailoring services to be performed in Vietnam Ho Chi Minh City. This document constitutes a binding commercial agreement between the purchasing entity and the Tailor workshop.
