All goods covered under this Purchase Order shall be delivered to the designated warehouses and school premises located within Bangladesh Dhaka, specifically at the addresses communicated by the Dhaka Primary Education Development Board no later than five (5) business days prior to each item's stated delivery deadline. The supplier, Shanti Educational Resources & Training Ltd., shall bear all transportation, handling, and insurance costs up to the point of delivery in Bangladesh Dhaka. Electronic equipment (Items 4 and 8) shall include on-site installation, calibration, and a minimum two-hour hands-on orientation session for the assigned Teacher Primary staff at each receiving school. The supplier must ensure that all printed materials are produced in accordance with the Bangladesh Press Council's standards and carry the official Bangladesh Dhaka education authority watermark.

Upon delivery, a joint inspection team comprising representatives of the Dhaka Primary Education Development Board and the supplier shall verify the quantity, condition, and specification compliance of all items listed in this Purchase Order. Any Teacher Primary training materials found to be defective, misprinted, or non-conforming to the 2025 curriculum standards shall be replaced at the supplier's sole expense within ten (10) calendar days. The acceptance certificate for this Purchase Order shall be signed by the Procurement Officer and the Quality Assurance Head of the Board. No final payment shall be released until a satisfactory acceptance report is filed for all line items.

Payments shall be made via bank transfer to the supplier's designated account at Sonali Bank, Bangladesh Dhaka Branch (A/C No. 0045-8821-3377). The supplier must submit a valid tax invoice and VAT receipt with each payment request.

All electronic items (Interactive Whiteboards and Portable Projectors) shall carry a minimum two-year manufacturer's warranty valid throughout Bangladesh Dhaka and the surrounding districts. The supplier shall maintain a dedicated after-sales service desk in Bangladesh Dhaka, reachable during standard business hours (9:00 AM – 5:00 PM, Saturday through Thursday), to address any Teacher Primary staff queries regarding equipment operation, software updates, or technical faults. Printed educational materials shall be free from typographical errors, and any batch found to contain errors exceeding two per page shall be recalled and reprinted at no additional cost.

(a) This Purchase Order is governed by the laws of the People's Republic of Bangladesh and shall be interpreted in accordance with the Bangladesh Public Procurement Act, 2006 (as amended). (b) The supplier shall not subcontract any portion of the work covered by this Purchase Order without prior written consent from the Dhaka Primary Education Development Board. (c) In the event of a force majeure event affecting delivery within Bangladesh Dhaka, the affected party shall notify the other in writing within forty-eight (48) hours, and the delivery timeline shall be extended by a mutually agreed period. (d) All disputes arising from this Purchase Order shall first be resolved through amicable negotiation; failing which, they shall be referred to the competent court of law in Bangladesh Dhaka. (e) This Purchase Order becomes effective upon the signature of both authorized representatives and remains valid until all obligations are fulfilled.
