- Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the laws of the Federative Republic of Brazil, specifically Federal Law No. 14.133/2021 (Public Procurement Law) and applicable regulations of the Federal District of Brazil Brasília.
- Payment Terms: Payment for the Teacher Primary program shall be made in four (4) equal installments, due 30 days after acceptance of each delivery phase. All payments shall be processed via bank transfer to the account designated by Teacher Primary Solutions Ltda. in BRL.
- Warranty and Support: Teacher Primary Solutions Ltda. guarantees a minimum of twelve (12) months of technical support and warranty on all digital components. Physical materials carry a six (6) month defect replacement warranty. Support services shall be available Monday through Friday, 8:00 to 18:00 BRT, at the vendor's office in Brazil Brasília.
- Compliance: All Teacher Primary materials must comply with the National Common Curricular Base (Base Nacional Comum Curricular – BNCC) and the specific educational directives issued by the Secretaria de Educação do Distrito Federal for Brazil Brasília.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding student data, pedagogical methodologies, and proprietary Teacher Primary content. All data processing shall comply with Brazil's General Data Protection Law (LGPD – Lei Geral de Proteção de Dados).
- Termination: Either party may terminate this Purchase Order with sixty (60) days written notice. In the event of termination, Teacher Primary Solutions Ltda. shall deliver all completed work and materials to the Secretaria de Educação within thirty (30) days.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through the competent courts of Brazil Brasília, Federal District, Brazil. Both parties agree to attempt mediation before initiating litigation.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting Brazil Brasília.
- Intellectual Property: All Teacher Primary proprietary content, software, and methodologies remain the intellectual property of Teacher Primary Solutions Ltda.
