TERMS AND CONDITIONS

1. Governing Jurisdiction: This Purchase Order is governed by the laws of the Province of Ontario and the federal laws of Canada applicable within Canada Toronto. Any disputes arising from this Purchase Order shall be resolved in the courts of Toronto, Ontario, Canada.

2. Payment Terms: Net 30 days from the date of invoice receipt. Payment shall be made via electronic funds transfer (EFT) to the vendor's designated account. All amounts are denominated in Canadian Dollars (CAD). The 13% Harmonized Sales Tax (HST) applicable in Ontario, Canada Toronto, is included in the total.

3. Delivery and Acceptance: All items listed under Teacher Primary educational resources must be delivered to the specified Canada Toronto address no later than the stated delivery dates. The Toronto District Board of Education reserves the right to inspect all goods upon arrival. Acceptance is contingent upon items meeting the specifications outlined in this Purchase Order and the Ontario Ministry of Education curriculum standards for primary education.

4. Warranties: The vendor warrants that all Teacher Primary materials, software, and equipment supplied under this Purchase Order are new, free from defects, and fully compliant with Canadian safety standards (CSA certified where applicable). Software licenses are valid for the stated duration and are licensed for use exclusively within Canada Toronto educational institutions.

5. Cancellation and Modification: This Purchase Order may be modified or cancelled in writing by either party with a minimum of 14 days' notice. Cancellation after the 14-day window may incur a 15% restocking fee on non-custom items. The Teacher Primary program coordinator must approve any modifications in writing.

6. Confidentiality: All information exchanged in connection with this Purchase Order, including student-related data, Teacher Primary curriculum materials, and Canada Toronto school operational details, shall be treated as confidential in accordance with the Ontario Personal Health Information Protection Act (PHIPA) and the Freedom of Information and Protection of Privacy Act (FIPPA).

7. Compliance: The vendor confirms compliance with all applicable Canadian federal and Ontario provincial regulations, including the Ontario Procurement Act, the Accessibility for Ontarians with Disabilities Act (AODA), and all Canada Toronto municipal bylaws pertaining to educational supply delivery and installation.

8. Insurance: The vendor shall maintain commercial general liability insurance with a minimum coverage of $5,000,000 CAD for the duration of this Purchase Order and provide a certificate of insurance upon request.
