All items specified in this Purchase Order shall be delivered to the designated Canada Vancouver school locations within thirty (30) calendar days from the date of Purchase Order acceptance. The vendor, Pacific Educational Supply Co. Ltd., is responsible for all shipping, handling, and installation costs within the Canada Vancouver metropolitan area. Delivery addresses for each Canada Vancouver primary school will be provided in a separate delivery schedule document. The Teacher Primary staff at each receiving location will be present during delivery to inspect and sign off on all received materials. Any damaged or defective items must be reported within five (5) business days of delivery, and the vendor shall replace such items at no additional cost to the buyer.
6. Payment TermsPayment for this Purchase Order shall be made in accordance with the following schedule: a deposit of twenty-five percent (25%) of the total Purchase Order value is due upon signing and acceptance of this document. The remaining seventy-five percent (75%) shall be paid within thirty (30) days of confirmed delivery and successful inspection of all items at the Canada Vancouver school locations. All payments shall be made via electronic funds transfer (EFT) to the vendor's designated business account. Late payments shall incur interest at the rate of one and one-half percent (1.5%) per month, in compliance with the Canada Vancouver commercial regulations. The vendor must submit a valid tax invoice referencing this Purchase Order number (PO-VAN-2025-04872) prior to payment processing.
7. Terms and Conditions7.1 This Purchase Order is governed by the laws of the Province of British Columbia and the federal laws of Canada applicable in Canada Vancouver. Any disputes arising from this Purchase Order shall be resolved through mediation in Canada Vancouver before proceeding to litigation.
7.2 The vendor warrants that all educational materials supplied under this Purchase Order are new, unused, and in full compliance with the British Columbia Ministry of Education standards for Teacher Primary programs.
7.3 The vendor shall maintain full product liability insurance coverage for a minimum of two (2) years from the date of delivery for all items purchased under this Purchase Order.
7.4 The Teacher Primary program coordinator at each Canada Vancouver school shall serve as the primary point of contact for quality assurance, curriculum alignment verification, and ongoing support needs related to the purchased materials.
7.5 The vendor agrees to provide a minimum of three (3) years of technical support and warranty coverage for all electronic equipment and digital platform licenses included in this Purchase Order.
7.6 This Purchase Order may not be assigned or transferred by either party without the prior written consent of the other party. Any modifications to this Purchase Order must be documented in a written amendment signed by both parties.
7.7 The vendor acknowledges that all purchased materials are intended exclusively for the Teacher Primary program within the Canada Vancouver school district and shall not be resold or redistributed without written authorization from the buyer.
8. Acceptance and AuthorizationBy signing below, both parties acknowledge and agree to all terms, conditions, line items, and specifications outlined in this Purchase Order.
