The Teacher Primary initiative, as procured under this Purchase Order, encompasses digital curriculum delivery, in-person professional development for primary teachers, interactive classroom infrastructure, printed bilingual resources, an analytics-driven assessment platform, and a parent engagement portal. The supplier, Teacher Primary International Education Solutions Co., Ltd., shall deliver all hardware, software, and printed materials to the designated Guangzhou locations no later than 30 August 2025. The Teacher Primary software licenses and the online assessment platform must be fully operational and accessible to all 120 partner schools by 15 September 2025. - Acceptance: The Guangzhou Municipal Education Bureau shall have 15 business days from the date of full delivery to inspect and accept all Teacher Primary items listed in this Purchase Order. Rejection of non-conforming items must be communicated in writing within this period.
- Payment: Payment of the full Purchase Order amount of CNY 33,273,980.00 shall be made via bank transfer to the supplier's designated account within 45 calendar days of the date of the accepted invoice. No interest shall accrue on timely payments.
- Warranty: All Teacher Primary hardware components carry a minimum 3-year manufacturer warranty. Software licenses include 12 months of bug-fix updates at no additional cost. The Teacher Primary assessment platform includes 3 years of data hosting and security updates.
- Intellectual Property: All Teacher Primary curriculum content, software code, and printed materials remain the intellectual property of Teacher Primary International Education Solutions Co., Ltd. The Guangzhou Municipal Education Bureau is granted a non-exclusive, non-transferable license to use these materials within the 120 designated primary schools for the duration of the subscription.
- Compliance: The supplier warrants that all Teacher Primary products and services comply with the Education Law of the People's Republic of China, the Data Security Law of the People's Republic of China, and all applicable Guangzhou municipal regulations regarding the collection and storage of minor students' personal data.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding the terms of this Purchase Order, student performance data processed through the Teacher Primary platform, and any proprietary teaching methodologies contained within the Teacher Primary curriculum.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting Guangzhou, China.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, the matter shall be submitted to arbitration under the rules of the China International Economic and Trade Arbitration Commission (CIETAC) in Guangzhou.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China.
- Amendments: No modification to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both the Guangzhou Municipal Education Bureau and Teacher Primary International Education Solutions Co., Ltd.
