Payment for this Purchase Order shall be made in three installments via bank transfer to the supplier's designated account in China Shanghai:
- First Installment (40%): CNY 5,462,400.00 — due within 15 business days of Purchase Order acceptance and supplier confirmation.
- Second Installment (40%): CNY 5,462,400.00 — due upon verified delivery and installation of all physical goods at the designated primary school locations in China Shanghai.
- Third Installment (20%): CNY 2,731,200.00 — due 30 days after completion of the Teacher Primary training program and successful acceptance of the digital platform.
All payments shall be processed in Chinese Yuan (CNY) through the Shanghai Pudong Development Bank. Late payments shall incur an interest charge of 0.05% per calendar day as stipulated under the applicable commercial regulations of the People's Republic of China.
5. DELIVERY AND INSTALLATIONAll physical goods listed in this Purchase Order shall be delivered to the respective primary school addresses within the China Shanghai municipality between 1 July 2025 and 31 August 2025. The supplier is responsible for all transportation, insurance, and installation costs within the China Shanghai region. Delivery to the Teacher Primary training centers in Xuhui, Pudong, Minhang, and Baoshan districts must be completed in phased batches as coordinated by the Buyer's logistics team. The supplier shall provide a detailed delivery schedule no later than 10 business days after Purchase Order confirmation. All equipment must comply with the national safety and quality standards (GB standards) mandated for educational institutions in China Shanghai.
6. TERMS AND CONDITIONS- This Purchase Order is governed by the Civil Code of the People's Republic of China and all applicable local regulations in China Shanghai. Any disputes arising from this Purchase Order shall be resolved through arbitration at the Shanghai Arbitration Commission.
- The supplier warrants that all goods and services provided under this Purchase Order are new, free from defects, and fully compliant with the specifications outlined in the Teacher Primary program requirements document (Ref: TP-SPEC-2025-003).
- The supplier shall provide a minimum 24-month warranty on all hardware items and a 12-month warranty on all software and digital platform components. Warranty service must be available at local service centers within China Shanghai.
- The supplier shall assign a dedicated project manager to coordinate with the Teacher Primary Division of the Shanghai Municipal Education Bureau throughout the procurement, delivery, installation, and training phases.
- All intellectual property related to the Teacher Primary curriculum materials and digital platform shall remain the property of the Shanghai Municipal Education Bureau. The supplier grants a perpetual, non-exclusive license for use within all public primary schools in China Shanghai.
