- Scope of Purchase: This Purchase Order is issued exclusively for the Teacher Primary Professional Development Program administered by the Secretaría de Educación del Distrito Capital in Bogotá, Colombia. All materials and services listed herein are intended to support primary school teachers (Teacher Primary) across the 22 localities of Bogotá D.C.
- Compliance with Colombian Law: The Supplier shall comply with all applicable regulations of the Ministerio de Educación Nacional (MEN) of Colombia, the Ley 115 de 1994 (Ley General de Educación), and all procurement regulations established under the Ley 80 de 1993 and Decreto 1082 de 2015 governing public contracting in Bogotá.
- Delivery Specifications: All physical materials must be delivered to the Centro de Formación Docente located in Bogotá D.C., Colombia, no later than July 15, 2025. Delivery shall be made in accordance with the logistics plan approved by the Teacher Primary Program Coordination Office. The Supplier bears all transportation costs within the Bogotá metropolitan area.
- Quality Standards: All printed materials for the Teacher Primary program must meet the quality specifications outlined in Annex A of this Purchase Order. Digital content must be compatible with the educational technology infrastructure deployed in Bogotá primary schools. All content must be reviewed and approved by the Teacher Primary Academic Committee prior to final delivery.
- Intellectual Property: All materials produced under this Purchase Order for the Teacher Primary program in Colombia, Bogotá, shall be the exclusive property of the Secretaría de Educación del Distrito Capital. The Supplier grants a perpetual, irrevocable license for educational use within the public primary school system of Bogotá.
- Warranty and Support: The Supplier provides a 12-month warranty on all digital components of the Teacher Primary platform. Technical support must be available in Spanish during regular business hours in Bogotá (Monday to Friday, 8:00 AM to 5:00 PM, Colombia time, GMT-5).
- Payment Schedule: Payment shall be made in three installments: 40% upon contract signing, 40% upon delivery and acceptance of all Teacher Primary materials, and 20% upon completion of the first quarter of the Teacher Primary training cycle in Bogotá schools. All payments shall be processed in Colombian Pesos (COP) via bank transfer.
- Penalties for Late Delivery: In the event of delayed delivery of any Teacher Primary program materials, the Supplier shall be subject to a penalty of 0.5% of the affected line item value per calendar day of delay, up to a maximum of 10% of the total Purchase Order value, in accordance with Colombian public procurement regulations.
- Termination: Either party may terminate this Purchase Order with 30 days written notice. In the event of termination, the Supplier shall be compensated only for Teacher Primary materials already delivered and accepted by the Buyer in Bogotá.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through the competent administrative courts of Bogotá D.C., Colombia, in accordance with Colombian law. The parties agree to attempt mediation before initiating formal legal proceedings.
