Terms and Conditions
  1. This Purchase Order is governed by the laws of the Arab Republic of Egypt and the Egyptian Public Procurement Law No. 144 of 2019, as amended. All disputes shall be resolved under the jurisdiction of the competent courts in Egypt Cairo.
  2. The supplier shall deliver all Teacher Primary materials and equipment to the designated primary school locations throughout Egypt Cairo Governorate within the timelines specified in each line item. Late delivery shall incur a penalty of 0.5% of the affected line item value per calendar day, capped at 10%.
  3. All Teacher Primary curriculum materials must be pre-approved by the Cairo Governorate Directorate of Education and the Egyptian Ministry of Education and Technical Education prior to delivery. The supplier shall submit samples for review at least 10 business days before the scheduled delivery date.
  4. Payment terms: 30% advance payment upon signing of this Purchase Order, 50% upon successful delivery and inspection of goods at the Egypt Cairo receiving warehouses, and 20% upon final acceptance and completion of the Teacher Primary training program. Payments shall be made via bank transfer to the supplier's registered account in Egypt.
  5. The supplier warrants that all Teacher Primary educational products comply with the Egyptian Bureau of Standards (EBS) and carry valid CE or equivalent certification. A two-year warranty applies to all hardware and software items.
  6. Intellectual property rights for all Teacher Primary curriculum content remain with the Egyptian Ministry of Education. The supplier grants a perpetual, non-exclusive license for use within public primary schools in Egypt Cairo and, upon government request, other governorates.
  7. Force majeure events, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting Egypt Cairo, shall extend delivery timelines by a mutually agreed period not exceeding 60 days.
  8. This Purchase Order constitutes the entire agreement between the parties regarding the procurement of Teacher Primary resources for the 2025/2026 academic year in Egypt Cairo and supersedes all prior negotiations, representations, or agreements.
  9. The supplier shall maintain full insurance coverage for all goods in transit within Egypt Cairo and shall provide proof of insurance upon request by the Buyer's procurement office.
  10. All documentation, invoices, and correspondence related to this Purchase Order shall be prepared in Arabic, with English translations provided for reference. The Arabic text shall prevail in the event of any discrepancy.
