3. TERMS AND CONDITIONS- Payment Terms: Net 30 days from invoice date. Payment shall be made via bank transfer to the supplier's designated account in Germany Munich. The supplier must provide a valid German VAT invoice (Rechnung) in accordance with §14 UStG.
- Delivery and Installation: All physical materials and technology kits for the Teacher Primary program must be delivered to the specified Munich school locations no later than 01 September 2025. Digital licenses and software access must be activated and verified by 25 August 2025.
- Compliance: The Teacher Primary program and all associated materials must fully comply with the Bayerisches Schulgesetz (BaySchG), the Munich municipal education regulations, and all applicable data protection requirements under the GDPR (DSGVO) as enforced in Germany Munich.
- Warranty and Support: The supplier guarantees a minimum 12-month warranty on all technology components. Technical support for the Teacher Primary digital platform must be available Monday through Friday, 08:00–17:00 CET, with a maximum response time of 4 business hours.

- Termination: Either party may terminate this Purchase Order with 60 days written notice. In the event of termination, the supplier shall refund any unused portion of the Teacher Primary program on a pro-rata basis.
- Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the laws of the Federal Republic of Germany. Any disputes shall be resolved by the competent courts in Munich, Germany.
