1. Scope of Purchase Order: This Purchase Order is issued by the Delhi State Primary Education Board for the procurement of Teacher Primary educational products, digital licenses, training services, and related materials. All deliverables shall be supplied to designated primary schools and training centres located within the municipal boundaries of New Delhi, India.
2. Delivery Schedule: The vendor, Teacher Primary Solutions Pvt. Ltd., shall deliver all physical materials (resource kits, curriculum guides) within 30 calendar days from the date of this Purchase Order. Digital platform licenses and software installations shall be completed within 21 calendar days. The 5-day Teacher Primary Professional Development Workshops shall be conducted between 1 August 2025 and 30 September 2025 at the New Delhi Education Centre, Ashok Road.
3. Payment Terms: Payment shall be made via RTGS/NEFT to the vendor's designated bank account in New Delhi. A 30% advance payment (INR 6,259,086.00) shall be released within 7 working days of Purchase Order acceptance. The remaining 70% shall be paid in two equal installments: 50% upon delivery and inspection of all physical goods, and 50% upon successful completion of all Teacher Primary training workshops and software installations. All payments are subject to the vendor submitting valid GST invoices compliant with the Goods and Services Tax Act, 2017, as applicable in India.
4. Quality & Acceptance: All Teacher Primary materials shall conform to the specifications outlined in Annexure A of this Purchase Order. The Buyer reserves the right to inspect and reject any items that do not meet the agreed-upon quality standards. Rejected items must be replaced within 10 working days at the vendor's sole cost.
5. Intellectual Property: All Teacher Primary content, including digital platform modules, curriculum guides, and assessment tools, shall remain the intellectual property of Teacher Primary Solutions Pvt. Ltd. The Buyer is granted a non-exclusive, non-transferable license to use these materials exclusively for primary education purposes within New Delhi, India, for the duration of the contract period.
6. Confidentiality: Both parties agree to maintain strict confidentiality regarding student data, teacher performance records, and institutional information accessed through the Teacher Primary platform. All data shall be stored on servers located within India, in compliance with the Information Technology Act, 2000, and applicable data protection regulations.
7. Governing Law & Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of India. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in New Delhi, India.
8. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including but not limited to natural disasters, government policy changes, or public health emergencies affecting New Delhi or the broader region of India.
9. Termination: Either party may terminate this Purchase Order with 30 days' written notice in the event of material breach by the other party. Upon termination, the Buyer shall pay for all Teacher Primary services and materials already delivered and accepted.
