Important Note: All Teacher Primary materials and services described in this Purchase Order are specifically designed and localized for the Indonesia Jakarta educational context. Content is delivered in Bahasa Indonesia with English supplementary references. All training sessions will be conducted within the Jakarta metropolitan area. The Teacher Primary program adheres to the standards set forth by the Indonesian Ministry of Education, Culture, Research, and Technology (Kemendikbudristek) and the Jakarta City Education Directorate. TERMS AND CONDITIONS

Scope of Purchase Order: This Purchase Order covers the complete procurement of Teacher Primary program materials, digital licenses, training services, and assessment tools for the 2025/2026 academic year. The Teacher Primary initiative is a city-wide program targeting all public primary schools (Sekolah Dasar Negeri) across the five administrative cities of Indonesia Jakarta: Jakarta Pusat, Jakarta Selatan, Jakarta Barat, Jakarta Timur, and Jakarta Utara.
Delivery Schedule: All physical Teacher Primary materials (Items 1, 3, and 5) shall be delivered to the central warehouse located at Jl. Raya Cakung No. 12, Jakarta Timur, Indonesia Jakarta, no later than 30 July 2025. Digital platform licenses (Item 2) must be activated and accessible to all designated Teacher Primary users by 15 August 2025. In-service training (Item 4) shall commence on 1 September 2025 at the Jakarta Convention Center.
Payment Terms: Payment shall be made via bank transfer to the Seller's designated account within thirty (30) calendar days from the date of invoice issuance, subject to satisfactory inspection and acceptance of all Teacher Primary deliverables. The Buyer reserves the right to withhold payment for any items that do not meet the specifications outlined in this Purchase Order.
Quality Assurance: The Seller guarantees that all Teacher Primary curriculum materials, classroom kits, and assessment tools comply with the Indonesian national education standards (Standar Nasional Pendidikan) and are appropriate for primary-level instruction in the Indonesia Jakarta region. Any defective or non-conforming items must be replaced within fourteen (14) days at the Seller's sole expense.
Intellectual Property: All Teacher Primary content, including digital modules, lesson plans, and training materials, shall be licensed exclusively to the Buyer for use within the Indonesia Jakarta public education system. The Seller retains ownership of the underlying intellectual property but grants the Buyer a perpetual, non-transferable license for educational use.
Compliance with Local Regulations: This Purchase Order is governed by the laws of the Republic of Indonesia. All transactions are subject to Indonesian tax regulations, including PPN (Value Added Tax) at the current rate of 11%. The Seller must provide a valid NPWP (tax identification number) and all invoices must be issued in accordance with Indonesian fiscal documentation requirements.
Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting the Indonesia Jakarta region.
Dispute Resolution: Any disputes arising from this Purchase Order shall first be attempted to be resolved through amicable negotiation. If unresolved within thirty (30) days, the matter shall be submitted to the competent court in Jakarta, Indonesia, for adjudication.
Amendments: This Purchase Order may only be amended in writing, signed and stamped by authorized representatives of both parties. No verbal modifications to the Teacher Primary program scope, pricing, or delivery terms shall be binding.
Confidentiality: Both parties agree to maintain the confidentiality of all proprietary information exchanged in connection with this Purchase Order, including Teacher Primary program data, student-related information, and internal procurement documentation specific to the Indonesia Jakarta education sector.
