4.1 Payment Terms: Payment shall be made within 60 days of receipt of a valid invoice and confirmed delivery of all Teacher Primary materials listed above. Payment shall be processed via bank transfer to the supplier account designated in the contract annex. All transactions are denominated in Japanese Yen (JPY) and subject to the consumption tax regulations applicable in Japan Osaka.
4.2 Delivery and Acceptance: The supplier shall deliver all Teacher Primary items to the designated address in Japan Osaka within the delivery window specified in Section 2. Acceptance shall be confirmed in writing by the receiving department within 10 business days of delivery. Any discrepancies in quantity, condition, or specification of Teacher Primary materials must be reported within this period.
4.3 Quality Assurance: All Teacher Primary educational materials must comply with the quality standards set forth by the Osaka Prefectural Board of Education and align with the national Teacher Primary certification framework. The supplier warrants that all digital platforms and software shall be free from defects for a period of 24 months from the date of installation.
4.4 Intellectual Property: All Teacher Primary curriculum content, examination materials, and proprietary software delivered under this Purchase Order remain the intellectual property of the supplier unless otherwise stated. The Osaka Prefectural Board of Education is granted a non-exclusive, non-transferable license to use these materials for the purpose of Teacher Primary training and certification within Japan Osaka.
4.5 Confidentiality: Both parties agree to maintain strict confidentiality regarding all data related to Teacher Primary candidates, examination content, and internal procurement processes. This obligation survives the termination of this Purchase Order for a period of five years.
4.6 Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters (typhoons, earthquakes common to the Japan Osaka region), government-mandated closures, or public health emergencies.
4.7 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from this Purchase Order related to Teacher Primary procurement in Japan Osaka shall be resolved through arbitration in Osaka under the rules of the Japan Commercial Arbitration Association.
Note: All Teacher Primary workshop sessions (Item 04) must be scheduled to avoid the Osaka Cherry Blossom Festival period and the Obon holiday week. The supplier shall coordinate with the Japan Osaka venue management no later than 30 days prior to each session.
