- Payment Terms: Net 45 days from the date of invoice. Payment shall be made via bank transfer to the vendor's designated account in Japan Tokyo. The total Purchase Order value of JPY 34,180,500 is due no later than August 1, 2025.
- Delivery Schedule: All physical Teacher Primary materials (Items 001, 002, 006, 007, and 008) must be delivered to the Japan Tokyo Campus no later than July 15, 2025. Digital licenses (Items 003 and 005) must be activated by July 10, 2025. The Teacher Primary Professional Development Workshop (Item 004) is scheduled for August 4–8, 2025.
- Quality Assurance: All Teacher Primary educational materials must comply with the standards set forth by the Japan Tokyo Metropolitan Board of Education. The vendor warrants that all printed materials are free from defects and that all digital platforms will maintain 99.5% uptime throughout the subscription period.
- Intellectual Property: The Teacher Primary curriculum content, digital platform, and assessment software remain the intellectual property of Global Teacher Primary Solutions Co., Ltd. The Japan Tokyo Board of Education is granted a non-transferable license for internal educational use only.
- Warranty & Returns: A 12-month warranty applies to all physical Teacher Primary materials. Defective items may be returned within 30 days of delivery for full replacement or credit. Digital licenses are non-refundable once activated.
- Force Majeure: Neither party shall be liable for delays caused by natural disasters, typhoons, or government-mandated closures affecting the Japan Tokyo region, provided written notice is given within 48 hours of the event.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes shall be resolved through arbitration in Tokyo, Japan Tokyo, under the rules of the Japan Commercial Arbitration Association.
- Confidentiality: All information exchanged under this Purchase Order regarding Teacher Primary program data, student records, and internal Japan Tokyo educational strategies shall be treated as strictly confidential and shall not be disclosed to third parties without written consent.

This Purchase Order is issued to support the ongoing Teacher Primary professional development initiative across all public elementary schools in Japan Tokyo. The procurement of these materials and services is aligned with the 2025–2028 Strategic Plan for Teacher Primary Excellence, as approved by the Japan Tokyo Metropolitan Assembly. All Teacher Primary program participants must complete the mandatory 5-day workshop (Item 004) to maintain their certification. The digital platform (Item 003) will serve as the central hub for all Teacher Primary educators in Japan Tokyo to access updated curricula, peer collaboration tools, and continuing education modules. The vendor is requested to provide a dedicated on-site support representative in Japan Tokyo during the first 30 days of platform deployment to ensure seamless integration into existing school systems.
