Terms and Conditions of This Purchase Order
- This Purchase Order is governed by the Civil Code of the Russian Federation and applicable municipal procurement regulations of Saint Petersburg. All disputes arising from this Purchase Order shall be resolved in accordance with the jurisdiction of the Arbitration Court of Saint Petersburg and the Leningrad Region.
- The Supplier shall deliver all Teacher Primary program materials, services, and training resources to the designated municipal school facilities across Saint Petersburg no later than 30 September 2025. Late delivery shall incur a penalty of 0.5% of the total Purchase Order value per calendar day of delay.
- All Teacher Primary training content must be delivered in the Russian language and must comply with the Federal State Educational Standard (FSES) for primary general education as established by the Ministry of Education and Science of the Russian Federation.
- Payment shall be made via bank transfer to the Supplier's designated account in Russian Rubles (RUB) within thirty (30) calendar days of receipt of a valid invoice and confirmation of satisfactory delivery of the Teacher Primary program components.
- The Supplier warrants that all Teacher Primary educational materials are original, free from intellectual property infringement, and suitable for use in public primary schools within Saint Petersburg, Russia.
- Either party may terminate this Purchase Order with thirty (30) days' written notice in the event of material breach. Upon termination, the Supplier shall be compensated only for Teacher Primary services and materials already delivered and accepted.
- All personal data of Teacher Primary participants (teachers and students) collected during the execution of this Purchase Order shall be processed in strict compliance with Federal Law No. 152-FZ on Personal Data of the Russian Federation.
- This Purchase Order constitutes the entire agreement between the parties regarding the Teacher Primary procurement in Saint Petersburg and supersedes all prior negotiations, representations, or agreements relating to this subject matter.
