Terms and Conditions of this Purchase Order

1. Scope: This Purchase Order is issued exclusively for the procurement of Teacher Primary educational services, materials, and infrastructure to be deployed in primary school institutions located in Spain Barcelona. All deliverables must comply with the regulatory standards set by the Generalitat de Catalunya and the Spanish Ministry of Education.
2. Payment Terms: Payment shall be made within 30 days of receipt of a valid invoice. A 40% advance payment is due upon acceptance of this Purchase Order. The remaining 60% shall be settled in two equal installments: 30% upon completion of the Teacher Primary training program and 30% upon final delivery and acceptance of all classroom equipment in Spain Barcelona.
3. Delivery Schedule: All goods and services referenced in this Purchase Order must be delivered and made operational no later than the dates specified in the delivery column. The Supplier, EducaPrim S.L., shall provide written confirmation of delivery for each line item. Late delivery beyond 10 business days entitles the Buyer to a penalty of 0.5% of the affected line item value per day of delay.
4. Quality Assurance: All Teacher Primary training materials, digital platform content, and classroom equipment must meet the quality specifications outlined in Annex A attached to this Purchase Order. The Buyer reserves the right to inspect and reject any deliverable that does not conform to the agreed standards. Rejected items must be replaced or repaired at the Supplier's sole expense within 15 business days.
5. Intellectual Property: All Teacher Primary curriculum materials, digital content, and proprietary methodologies delivered under this Purchase Order shall remain the intellectual property of EducaPrim S.L. The Buyer is granted a non-exclusive, non-transferable license to use these materials within the primary school network in Spain Barcelona for the duration of the 2025–2026 academic year.
6. Confidentiality: Both parties agree to maintain strict confidentiality regarding all data, student records, and institutional information exchanged during the execution of this Purchase Order. This obligation shall survive the termination of this agreement for a period of five (5) years.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Spain, with specific reference to the commercial regulations applicable in the region of Catalonia, Spain Barcelona. Any disputes arising from this Purchase Order shall be resolved through the competent courts of Barcelona.
8. Force Majeure: Neither party shall be held liable for failure to perform obligations under this Purchase Order due to circumstances beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting the Spain Barcelona region.
9. Amendments: No modification to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both the Buyer and the Supplier. Any changes to the Teacher Primary program scope, pricing, or delivery timelines must be documented as a formal amendment to this Purchase Order.
10. Termination: Either party may terminate this Purchase Order with 30 days' written notice in the event of a material breach by the other party that remains uncured after a 15-day written notice period. Upon termination, the Buyer shall pay for all Teacher Primary services and goods already delivered and accepted.
