Description of Purchase — Teacher Primary ServicesThis Purchase Order is issued by Centro Educativo Madrid Primario S.L. to EducaMadrid Recursos Docentes S.L. for the provision of qualified Teacher Primary education services for the academic year 2025–2026. The services shall be rendered exclusively within the municipality of Madrid, Spain, in accordance with the educational regulations established by the Comunidad de Madrid and the national framework of the Ley Orgánica 3/2020 de Modificación de la Ley Orgánica 2/2006 de Educación (LOMLOE). All Teacher Primary personnel engaged under this Purchase Order must hold a valid Título de Maestro (Primary Education Degree) or equivalent qualification recognised by the Ministerio de Educación y Formación Profesional de España, and must be legally authorised to practise as a Teacher Primary in the autonomous community of Madrid.

- Scope of Services: The Supplier shall provide all Teacher Primary personnel listed above for the academic year 2025–2026 at the Buyer’s premises located in the district of Salamanca, Madrid, Spain. Each Teacher Primary shall comply with the working hours and pedagogical duties defined in the collective agreement for private education centres in the Comunidad de Madrid.
- Qualification Requirements: Every Teacher Primary assigned under this Purchase Order must present, prior to commencement of duties, a certified copy of their Título de Maestro, a valid background check (certificado de antecedentes penales) issued by the Ministerio del Interior de España, and proof of registration with the Seguridad Social of Madrid. The Supplier warrants that all Teacher Primary candidates meet the minimum requirements established by the Consejería de Educación, Juventud y Deportes de la Comunidad de Madrid.
- Payment Terms: Payment shall be made in monthly instalments via direct bank transfer (transferencia bancaria) to the Supplier’s account at Banco Santander, Madrid branch, within 30 calendar days of receipt of the monthly invoice. The total value of this Purchase Order is EUR 703,336.70, inclusive of 21% IVA applicable in Spain.
- Substitution and Replacement: In the event that a Teacher Primary is unable to continue due to illness, resignation, or other cause, the Supplier shall provide a replacement Teacher Primary of equivalent or superior qualification within a maximum of five (5) working days, at no additional cost to the Buyer, in accordance with the substitution provisions of this Purchase Order.
- Compliance with Spanish Law: This Purchase Order is governed by and shall be interpreted in accordance with the civil and commercial laws of the Kingdom of Spain, with particular reference to the Ley Orgánica 3/2020 (LOMLOE), the Estatuto de los Trabajadores (Real Decreto Legislativo 2/2015), and the applicable regulations of the Comunidad de Madrid regarding primary education. Any dispute arising from this Purchase Order shall be submitted to the competent courts of Madrid, Spain, with express waiver of any other jurisdiction.
- Confidentiality and Data Protection: Both parties shall comply with the Reglamento General de Protección de Datos (RGPD) and the Ley Orgánica 3/2018 de Protección de Datos Personales y garantía de los derechos digitales (LOPDGDD) in the handling of any personal data of students, parents, and Teacher Primary personnel in Madrid, Spain.
- Termination: Either party may terminate this Purchase Order with a written notice of thirty (30) days. In the event of termination, the Buyer shall be liable for services rendered up to the effective date of termination. The Supplier shall ensure an orderly transition of all Teacher Primary duties to avoid disruption to the educational programme in Madrid.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to public health emergencies, government-mandated school closures in Madrid, Spain, or acts of authority by the Comunidad de Madrid.
- Acceptance: This Purchase Order becomes binding upon signature by both parties. The Supplier’s acceptance of this Purchase Order constitutes full agreement to all terms, conditions, and specifications herein regarding the provision of Teacher Primary services in Madrid, Spain.
