1. Payment Terms: Payment shall be made within 30 calendar days of receipt of a valid invoice (factura) conforming to the requirements of the Ley 9/2017 del Sector Público. Payment will be executed via direct bank transfer (transferencia bancaria) to the IBAN specified in Section 2. Invoices must reference this Purchase Order number (PO-2025-VAL-TP-00472) and the corresponding line item reference.
2. Delivery and Performance: All services and materials related to this Teacher Primary procurement must be delivered and/or commenced no later than 30 September 2025, coinciding with the start of the 2025–2026 academic year in Spain. The ongoing mentorship service (Item 04) shall run from 1 October 2025 through 30 September 2026. All physical materials must be delivered to the designated school addresses within the province of Valencia, Spain, at no additional cost to the Buyer.
3. Quality Standards: All Teacher Primary training content, resource kits, and pedagogical materials must be fully aligned with the LOMLOE curriculum framework and the specific adaptations adopted by the Comunitat Valenciana. Materials must be available in both Spanish (Castellano) and Valencian (Català) to comply with the Llei 1/1983 de Normalització Lingüística. The vendor guarantees that all instructors and mentors hold valid qualifications recognised by the Conselleria d'Educació.
4. Compliance and Legal Framework: This Purchase Order is governed by the laws of the Kingdom of Spain, with specific application of the Ley 9/2017, de 8 de noviembre, del Sector Público, and the corresponding regulations of the Generalitat Valenciana. Any disputes arising from this Purchase Order shall be resolved by the competent courts of Valencia, Spain, or by arbitration before the Tribunal Arbitral de la Comunitat Valenciana, at the Buyer's election.
5. Confidentiality and Data Protection: The vendor shall comply with the Reglamento General de Protección de Datos (RGPD) and the Ley Orgánica 3/2018 de Protección de Datos Personales y garantía de los derechos digitales (Spain). All personal data of Teacher Primary participants collected during training, mentoring, or evaluation activities shall be processed solely for the purposes of this contract and stored on servers located within the European Union.
6. Termination: Either party may terminate this Purchase Order with 60 days' written notice in the event of material breach. In the case of termination by the Buyer for convenience, the vendor shall be compensated for services already rendered and non-cancellable commitments, in accordance with Article 325 of the Ley 9/2017.
7. Warranty and Remedies: The vendor warrants that all Teacher Primary materials are free from defects and fit for their intended educational purpose. Any defective items must be replaced within 15 business days at the vendor's expense. The vendor shall maintain professional liability insurance (seguro de responsabilidad civil profesional) with a minimum coverage of EUR 1,000,000 for the duration of this contract.
8. Intellectual Property: All custom-developed Teacher Primary training modules, assessment tools, and resource kits created specifically for this Purchase Order shall become the property of the Conselleria d'Educació, Cultura i Esport upon full payment. The vendor retains ownership of pre-existing intellectual property but grants the Buyer a perpetual, non-exclusive licence to use such materials in all public primary schools in Valencia, Spain.
