Purpose of This Purchase Order

Terms and Conditions
1. Delivery: All physical goods referenced in this Purchase Order shall be delivered to the designated Thailand Bangkok primary school sites no later than 30 July 2025. The supplier, Siam Educational Solutions Co., Ltd., shall bear all transportation, insurance, and handling costs within the Thailand Bangkok metropolitan area. Delivery to remote districts of Bangkok (including Bang Phli, Mueang Samut Prakan, and Bang Yai) shall be scheduled in coordination with the BMA Education Division logistics team.
2. Quality Assurance: All Teacher Primary educational materials must comply with the curriculum standards set by the Basic Education Commission of Thailand (OBEC) and the Bangkok Metropolitan Administration's primary education framework. Any item found to be defective, non-conforming, or unsuitable for Teacher Primary classroom use shall be replaced at the supplier's sole expense within fourteen (14) calendar days of written notice.
3. Payment Terms: Payment for this Purchase Order shall be made in three installments: (a) 30% upon signing and confirmation of this Purchase Order; (b) 50% upon successful delivery and acceptance of all goods at the Thailand Bangkok school sites; (c) 20% upon completion of the Teacher Primary professional development workshops and final sign-off by the BMA Education Division. All payments shall be made via bank transfer to the supplier's designated account in Thai Baht (THB).
4. Intellectual Property: All digital content, software licenses, and curriculum materials procured under this Purchase Order for Teacher Primary use shall carry perpetual, non-transferable licenses for use within the Thailand Bangkok public primary school system. The supplier warrants that all materials are free from intellectual property infringement claims.
5. Compliance: This Purchase Order is governed by the laws of the Kingdom of Thailand. Any disputes arising from this Purchase Order shall be resolved through the Bangkok Metropolitan Court. The supplier shall comply with all applicable Thai labor, education, and procurement regulations, including the Government Procurement and Supply Act B.E. 2560 (2017) as it applies to Bangkok municipal education spending.
6. Cancellation: Either party may cancel this Purchase Order with thirty (30) days' written notice. In the event of cancellation by the purchasing party after goods have been manufactured or services partially rendered, the supplier shall be compensated for verified, non-recoverable costs incurred up to the date of cancellation.
7. Confidentiality: Both parties agree to maintain confidentiality regarding the terms, pricing, and scope of this Purchase Order. No information related to the Teacher Primary program details or Thailand Bangkok school-specific data shall be disclosed to third parties without prior written consent.
