5.1 Delivery: All physical goods and materials specified in this Purchase Order shall be delivered to the designated primary school locations across Turkey Istanbul within 45 calendar days from the date of Purchase Order acceptance. The digital platform licenses (Item 03) shall be activated within 15 business days.
5.2 Payment Terms: Payment shall be made in three (3) equal installments via bank transfer to the supplier's designated account in Turkey Istanbul. The first installment (33%) is due upon Purchase Order acceptance, the second (33%) upon delivery and inspection of all physical items, and the final (34%) upon completion of the Teacher Primary conference and full platform activation.
5.3 Quality Assurance: All Teacher Primary materials must comply with the curriculum standards set by the Ministry of National Education of the Republic of Turkey. The supplier guarantees that all instructional content is age-appropriate for primary school students (ages 6–12) and aligned with the 2025–2026 Istanbul academic calendar.
5.4 Compliance: This Purchase Order is subject to the Turkish Public Procurement Law No. 4734, the Public Procurement Regulation No. 4735, and all applicable regulations of the Istanbul Provincial Directorate of National Education. The supplier warrants full compliance with Turkish labor, tax, and educational standards in Turkey Istanbul.
5.5 Cancellation and Penalties: In the event of non-delivery or non-compliance, the supplier shall be subject to a penalty of 0.5% of the total Purchase Order value per day of delay, up to a maximum of 10%. The Istanbul Provincial Directorate reserves the right to cancel this Purchase Order in accordance with Article 47 of Law No. 4734.
5.6 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Turkey. Any disputes arising from this Purchase Order shall be resolved by the competent courts in Istanbul, Turkey.
