- Scope: This Purchase Order is issued specifically to procure educational materials, technology, and professional development services for the Teacher Primary program under the Abu Dhabi Department of Education & Knowledge. All goods and services must comply with the standards set by the United Arab Emirates Ministry of Education and ADEK quality frameworks.
- Delivery: All physical items listed in this Purchase Order shall be delivered to the designated Abu Dhabi school campuses within the United Arab Emirates no later than 30 June 2025. Delivery shall be DDP (Delivered Duty Paid) to the addresses specified by the Buyer. The Supplier is responsible for all logistics, customs clearance (if applicable for imported goods), and final placement within the Abu Dhabi facilities.
- Quality Assurance: All Teacher Primary classroom resources, interactive whiteboards, and audio-visual equipment must meet or exceed the specifications outlined in the attached Technical Annexure. The Supplier warrants that all products are new, unused, and free from defects. A 24-month warranty is required on all electronic equipment.
- Payment: Payment shall be made via bank transfer to the Supplier's designated account in the United Arab Emirates within thirty (30) calendar days of receipt of a valid tax invoice and confirmed delivery. The total amount due under this Purchase Order is AED 568,522.50 (Five Hundred Sixty-Eight Thousand Five Hundred Twenty-Two Dirhams and Fifty Fils), inclusive of 5% UAE Value Added Tax.
- Compliance: The Supplier confirms that all goods and services provided under this Purchase Order comply with the laws and regulations of the United Arab Emirates, including but not limited to the Federal Tax Authority VAT regulations, Abu Dhabi Municipality safety codes, and ADEK procurement guidelines. The Supplier shall provide a valid Tax Registration Number (TRN) on all invoices.
- Intellectual Property: All digital curriculum content, software licenses, and Teacher Primary training materials procured under this Purchase Order shall be licensed for use exclusively within the Abu Dhabi school network. No redistribution or sublicensing is permitted without prior written consent from the Buyer.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through the courts of Abu Dhabi, United Arab Emirates, in accordance with the UAE Civil Transactions Law. The governing law of this document is the law of the United Arab Emirates.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies as declared by the Abu Dhabi government or the UAE federal authorities.
- Validity: This Purchase Order is valid for acceptance within ten (10) business days from the date of issue. Failure to confirm acceptance within this period shall render this Purchase Order null and void.
