3. SCOPE OF PURCHASE ORDER — TEACHER PRIMARY SERVICES

This Purchase Order is issued by the Dubai Primary Education Authority to procure a comprehensive package of Teacher Primary professional development services, classroom resources, and pedagogical training materials. The scope of this Purchase Order encompasses the full-cycle support of Teacher Primary educators across all public and private primary schools operating within the emirate of Dubai, United Arab Emirates. The services are designed to align with the Dubai Curriculum Framework and the United Arab Emirates National Education Strategy 2031, ensuring that every Teacher Primary professional receives standardized, high-quality instructional support.

5. TERMS AND CONDITIONS

5.1 This Purchase Order is governed by the laws of the United Arab Emirates and the specific commercial regulations applicable in the emirate of Dubai. Any disputes arising from this Purchase Order shall be resolved through the Dubai International Financial Centre (DIFC) Courts or, at the Buyer's discretion, through arbitration administered by the Dubai International Arbitration Centre (DIAC).

5.2 The Seller shall ensure that all Teacher Primary training content, digital tools, and printed materials comply with the United Arab Emirates Ministry of Education standards, the Dubai Curriculum Framework, and all applicable cultural and religious guidelines in force within the United Arab Emirates Dubai jurisdiction.

5.3 Delivery of all Teacher Primary services and materials shall be completed no later than 30 July 2025. The Seller shall provide a detailed delivery schedule within five (5) business days of accepting this Purchase Order. Late delivery shall incur a penalty of 0.5% of the total Purchase Order value per calendar day of delay, capped at 10% of the total value.

5.4 Payment shall be made via bank transfer to the Seller's designated account in the United Arab Emirates within forty-five (45) calendar days of receipt of a valid tax invoice. The Buyer reserves the right to withhold payment for any Teacher Primary deliverables that do not meet the quality specifications outlined in this Purchase Order.

5.5 The Seller warrants that all Teacher Primary training personnel assigned to this contract hold valid teaching certifications recognized by the United Arab Emirates and possess a minimum of five (5) years of experience in primary education within the United Arab Emirates Dubai school system.

5.6 Intellectual property rights for all custom-developed Teacher Primary materials created specifically for this Purchase Order shall vest in the Buyer upon full payment. The Seller retains ownership of pre-existing proprietary tools and platforms, granting the Buyer a non-exclusive, non-transferable license for use within Dubai primary schools for the duration of the contract.

5.7 Either party may terminate this Purchase Order with thirty (30) days' written notice in the event of material breach. Upon termination, the Seller shall deliver all completed Teacher Primary work product and refund any prepaid amounts for undelivered services.

5.8 The Seller shall maintain comprehensive insurance coverage, including professional indemnity and public liability, throughout the performance period of this Purchase Order in the United Arab Emirates Dubai.
