4. TERMS AND CONDITIONS4.1 Payment Terms: Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice from Teacher Primary Ltd. Payment shall be processed via BACS bank transfer to the account details specified on the invoice. Late payment shall attract interest at the rate of 4% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998, United Kingdom.
4.2 Delivery: All physical goods ordered under this Purchase Order must be delivered to the Birmingham Metropolitan Education Authority warehouse at 12 Corporation Street, Birmingham, B4 7BD, United Kingdom, by the delivery dates specified in Section 2. Delivery shall be DDP (Delivered Duty Paid) as per Incoterms 2020. Risk of loss passes to the Buyer upon delivery and acceptance at the designated Birmingham address.
4.3 Quality and Compliance: All educational materials supplied by Teacher Primary must comply with the National Curriculum for England, the Early Years Foundation Stage (EYFS) statutory framework, and all relevant health and safety regulations applicable in the United Kingdom. Products must carry appropriate CE marking and meet British Standards (BS) where applicable.
4.4 Acceptance and Inspection: The Buyer shall have fourteen (14) calendar days from the date of delivery to inspect all goods received. Any items found to be defective, damaged, or not conforming to the specifications outlined in this Purchase Order must be reported in writing to Teacher Primary Ltd. within the inspection period. Teacher Primary shall replace or refund non-conforming items within twenty-one (21) days of notification.
4.5 Intellectual Property: All digital content, lesson plans, and proprietary materials provided by Teacher Primary under this Purchase Order remain the intellectual property of Teacher Primary Ltd. The Buyer is granted a non-exclusive, non-transferable licence to use such materials solely for the benefit of primary schools within the Birmingham, United Kingdom, educational jurisdiction for the duration of the subscription period.
4.6 Cancellation and Variations: This Purchase Order may be cancelled or varied only by mutual written agreement between the authorised representatives of both parties. Cancellation of physical goods after the manufacturing or preparation stage has commenced may incur a cancellation fee of up to 25% of the affected line item value.
4.7 Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of England and Wales, United Kingdom. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Birmingham, United Kingdom.
4.8 Data Protection: Both parties agree to comply with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018 in the processing of any personal data exchanged in connection with this Purchase Order.
5. AUTHORITY AND ACCEPTANCEThis Purchase Order is issued under the delegated authority of the Birmingham Metropolitan Education Authority's Procurement Committee, in accordance with the Public Contracts Regulations 2015 (United Kingdom) and the Authority's internal procurement policy.
