4.1 Scope of Purchase Order: This Purchase Order is issued by the Chicago Public Schools District, Teacher Primary Division, for the procurement of educational materials, software, professional development services, and related supplies specifically designated for the Teacher Primary program operating within the United States Chicago school district. All items listed herein shall conform to the Illinois State Board of Education standards and the United States Chicago Public Schools curriculum guidelines for primary-level instruction.
4.2 Delivery: All physical goods referenced in this Purchase Order shall be delivered to the receiving warehouse located at 111 S LaSalle Street, Chicago, Illinois 60603, United States, no later than August 15, 2025. The Teacher Primary program requires all materials to be in classrooms by the first week of the 2025-2026 academic year. Late delivery beyond the specified date shall incur a penalty of 1.5% of the affected line item value per calendar day of delay, up to a maximum of 15%.
4.3 Payment Terms: Payment shall be made via electronic funds transfer (EFT) to the supplier's designated account within thirty (30) days of receipt of a valid invoice and confirmed delivery of all Teacher Primary items listed in this Purchase Order. The supplier must submit invoices referencing Purchase Order number PO-CHI-TP-2025-00472. No payment shall be released until the Teacher Primary Division Director or an authorized designee has inspected and approved the delivered goods.
4.4 Quality Assurance: The supplier warrants that all Teacher Primary curriculum materials, workbooks, and software products shall be free from defects in material and workmanship for a period of twelve (12) months from the date of delivery. Any defective items identified within the warranty period shall be replaced or repaired at no additional cost to the United States Chicago school district. The supplier shall provide a written quality certification accompanying each shipment of Teacher Primary goods.
4.5 Intellectual Property and Licensing: All software licenses and digital content purchased under this Purchase Order for the Teacher Primary program are licensed exclusively for use within the United States Chicago Public Schools District. Redistribution, copying, or transfer of these materials to any other institution or jurisdiction is strictly prohibited. The supplier grants a non-transferable, non-exclusive license for the duration of the academic year specified.
4.6 Compliance: The supplier acknowledges and agrees to comply with all applicable federal, Illinois state, and United States Chicago municipal regulations governing the sale and distribution of educational materials. This includes but is not limited to the Americans with Disabilities Act (ADA) accessibility requirements for all digital Teacher Primary content, the Family Educational Rights and Privacy Act (FERPA) for student data handling, and all applicable child safety and background check requirements for personnel delivering the Teacher Primary professional development workshops in Chicago.
4.7 Cancellation and Modification: This Purchase Order may be modified or cancelled in whole or in part only by mutual written agreement between the Teacher Primary Division and the supplier. Cancellation requests must be submitted no fewer than fourteen (14) business days prior to the scheduled delivery date. In the event of cancellation after the supplier has incurred non-recoverable costs, the supplier may submit a documented claim for such costs, subject to approval by the United States Chicago Public Schools procurement office.
4.8 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Illinois, United States, and the municipal ordinances of the City of Chicago. Any disputes arising from this Purchase Order related to the Teacher Primary program shall be resolved through binding arbitration in Chicago, Illinois, in accordance with the rules of the American Arbitration Association.
4.9 Insurance: The supplier shall maintain comprehensive general liability insurance with a minimum coverage of $2,000,000 per occurrence and $5,000,000 in aggregate for all activities performed under this Purchase Order within the United States Chicago area. Certificates of insurance shall be provided to the Teacher Primary Division prior to the commencement of any on-site work or delivery.
