Payment Terms
Payment shall be made within thirty (30) days of invoice receipt (Net 30). The total Purchase Order amount of $2,528,636.60 shall be disbursed in three installments: 40% upon contract execution, 40% upon delivery and inspection of all Teacher Primary materials in San Francisco, and 20% upon final acceptance and completion of the Teacher Primary Professional Certification Workshop. All payments shall be made via electronic funds transfer (EFT) to the vendor's designated United States bank account.
Delivery and Installation
All Teacher Primary goods and services shall be delivered to the San Francisco Unified School District warehouses located at 180 Golden Gate Avenue, San Francisco, CA 94102, United States, no later than August 15, 2025. The vendor is responsible for all shipping, handling, and on-site installation of interactive whiteboard systems and STEM laboratory equipment across the 120 designated primary school sites throughout the San Francisco Bay Area. Delivery must comply with all United States Department of Transportation regulations and California state freight guidelines.
Quality and Compliance
All Teacher Primary products must meet or exceed California Department of Education standards, United States Consumer Product Safety Commission (CPSC) requirements, and applicable San Francisco municipal codes. The vendor warrants that all materials are new, free from defects, and specifically designed for primary education settings. Any non-conforming items shall be replaced at the vendor's sole expense within fifteen (15) business days of written notice from the San Francisco district.
Warranty
The vendor provides a minimum two-year comprehensive warranty on all hardware items (interactive whiteboards, STEM equipment, and furniture) and a one-year replacement guarantee on all consumable Teacher Primary supplies. Software licenses include one year of technical support and updates. Warranty service shall be provided locally within the United States San Francisco metropolitan area with a maximum 48-hour response time.
Governing Law
This Purchase Order shall be governed by and construed in accordance with the laws of the State of California, United States, and the municipal ordinances of the City and County of San Francisco. Any disputes arising from this Purchase Order related to the Teacher Primary program shall be resolved through binding arbitration in San Francisco, California, in accordance with the rules of the American Arbitration Association.
Confidentiality and Data Protection
The vendor acknowledges that the Teacher Primary program involves the collection and processing of student data. All data handling must comply with the United States Family Educational Rights and Privacy Act (FERPA), California Education Code, and San Francisco Unified School District data governance policies. No student-identifying information shall be stored on vendor servers outside the United States.
